Closing Stock Value definition

Closing Stock Value shall have the meaning set forth in Section 2.1(d).

Closing Stock Value means the product obtained by multiplying (a) the Closing Stock Consideration by (b) the Allocation Price.

Closing Stock Value means the closing per-share price of the AT&T Common Stock trading "ex-distribution" or "when issued (to give effect to the Distribution)" as listed on the NYSE as of 4:00 P.M., Eastern Standard Time or Eastern Daylight Time (whichever shall then be in effect) on the Distribution Date; provided, however, that if the Distribution occurs at a time when the NYSE is open for trading, AT&T Ex-Distribution Closing Stock Value shall mean the price at which AT&T Common Stock trading "ex-distribution" or "when issued (to give effect to the Distribution)" last trades immediately before the Distribution; provided further, that if the Distribution occurs prior to the first trade on the Distribution Date, the AT&T Ex-Distribution Closing Stock Value shall mean the price at which AT&T Common Stock trading "ex-distribution" or "when issued (to give effect to the Distribution)" last trades on the trading day immediately preceding the Distribution Date.

• For example, if the actual costs are $70,000.00 and the Closing Stock Value is $3.50, the shares released would be reduced by 20,000 shares ($70,000.00 divided by $3.50).

More Definitions of Closing Stock Value

Closing Stock Value means an amount equal to the product of (i) the aggregate of the Allocated Raven Shares and (ii) the lesser of (A) the average of the high and low trading prices of a share of Raven Common Stock on Nasdaq on the Closing Date or (B) the Average Price.
