Assuming the Debt Financing is funded in accordance with the Debt Financing Commitment, Buyer will have on the Closing Date funds sufficient to (i) pay the Closing Cash Payment, (ii) pay any and all the fees and expenses required to be paid by Buyer in connection with the transactions contemplated hereby and the Debt Financing, and (iii) satisfy all of the other payment obligations of Buyer contemplated hereunder.
