Closing Security Documents definition

Closing Security Documents means each of the documents listed on Schedule 4.01(a)(ii).
Closing Security Documents means the Company Share Security, the Parent Assignment, the SPVCo Share Security, the Company Debenture, the HK TopCo Share Security, the SPVCo Debenture, the HK HoldCo Share Security, the HK TopCo Debenture, the HK HoldCo Debenture and the Master Assignment.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Existing Security Agreement shall have the meaning set forth in the recitals.

  • Non-Controlling Secured Parties means, with respect to any Shared Collateral, the First Lien Secured Parties which are not Controlling Secured Parties with respect to such Shared Collateral.

  • Existing Secured Notes means the previously issued debt securities of the Issuers outstanding on the date hereof.

  • First Priority Documents means the First Priority Agreement, each First Priority Security Document and each First Priority Guarantee.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • U.S. Security Documents means and include the U.S. Security Agreement, the U.S. Pledge Agreement, each Mortgage covering a U.S. Mortgage Property and each Additional Security Document covering assets of a U.S. Credit Party situated in the United States.

  • Controlling Secured Parties means, with respect to any Shared Collateral, the Series of First Lien Secured Parties whose Authorized Representative is the Applicable Authorized Representative for such Shared Collateral.

  • Exit Facility Documents means, collectively, the Exit Credit Agreement, and all other agreements, documents, and instruments delivered or entered into in connection with the Exit Facility, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, subordination agreements, fee letters, and other security documents
