All Liens and security interests created pursuant to the Existing Security Agreement are hereby ratified, confirmed, renewed, extended, brought forward, consolidated and rearranged as security for the Secured Obligations, in addition to and cumulative of the Liens and security interests of this A&R Security Agreement, and the parties hereto acknowledge that such Liens and security interests shall continue to exist under and be evidenced by this A&R Security Agreement.
It is the intention of the parties hereto, and each party hereto acknowledges and agrees, that this A&R Security Agreement shall not constitute a novation of any rights or obligations of any party under the Existing Security Agreement for the purpose of any applicable law.
The Company and the Secured Party acknowledge that, upon the execution and delivery of this A&R Security Agreement, the terms and conditions of the Existing Security Agreement shall be and hereby are amended, superseded and restated in their entirety by the terms and provisions of this A&R Security Agreement.
