Calculation Agent Appointment Letter means the letter substantially in the form set out in Schedule 2; Code means the US Internal Revenue Code of 1986, as amended; Dispute has the meaning given in Clause 34.2; FATCA Exempt Party means, in connection with any payments due on the Certificates, a party that is able to receive such payment free from FATCA Withholding; FATCA Withholding means any withholding or deduction required pursuant to an agreement described in Section 1471(b) of the Code, or otherwise imposed pursuant to Sections 1471 through 1474 of the Code (or any regulations thereunder or official interpretations thereof) or an intergovernmental agreement between the United States and another jurisdiction facilitating the implementation thereof (or any law in any jurisdiction implementing such an intergovernmental agreement); Instructions means any written notices, written directions or written instructions received by the Agents in accordance with this Agreement from an Authorised Person or from a person reasonably believed by the Agent to be an Authorised Person; LCIA has the meaning given in Clause 34.2; Local Business Day means a day (other than a Saturday or a Sunday) on which commercial banks are open for general business (including dealings in foreign exchange and foreign currency deposits) in the city in which the Principal Paying Agent has its Specified Office; Proceedings has the meaning given in Clause 34.5;

Examples of Calculation Agent Appointment Letter in a sentence

  • The provisions of this Agreement (except for Schedule 10 (Calculation Agent Appointment Letter)) do not apply to Instruments which are VPS Instruments.
