Calculated Value definition

Calculated Value means for any Hotel Property (a) if such Hotel Property is leased to a Subsidiary of the Borrower, the Adjusted NOI for such Hotel Property for the preceding Rolling Period and, if such Hotel Property is not leased to a Subsidiary of the Borrower, the lesser of (i) the Adjusted NOI for such Hotel Property for the preceding Rolling Period or (ii) the actual rental payments received by the Parent or its Subsidiary under the participating lease for such Hotel Property during such Rolling Period divided by (b) the Capitalization Rate.
Calculated Value means the quotient of the Eligible Property NOI for each applicable Eligible Property divided by its applicable Capitalization Rate with the resulting quotient multiplied by owner’s percentage ownership of such Eligible Property.
Calculated Value means for any Hotel Property the product of (a) the lesser of (i) the Adjusted EBITDA for such Seasoned Property for the preceding Rolling Period or (ii) the actual rental payments received by the Parent or its Subsidiary under the participating lease for such Hotel Property during such Rolling Period times (b) ten (10).

Examples of Calculated Value in a sentence

  • At such time as the average trading volume of the shares in the applicable trading market exceeds 5,000 shares per day, for at least twenty business days, the Calculated Value will thereafter be determined as set forth in (ii) of this Paragraph.

  • If such consent is obtained during such period, then Seller shall assign such Asset to Buyer and Buyer shall pay Seller such Calculated Value (or such agreed value, if applicable) attributed thereto, on or before ten (10) days following receipt of notice thereof from Seller.
