Awards may not be exercised, and Award Shares may not be transferred, in violation of Applicable Law.
Whenever Award Shares are issued or become free of restrictions, the Company may require the Awardee to remit to the Company an amount sufficient to satisfy any applicable tax withholding requirement, whether the related tax is imposed on the Awardee or the Company.
The Administrator, in its sole discretion, may also permit Award Shares to be A-15withheld to pay required withholding.
The grant of Awards and the issuance and subsequent transfer of Award Shares shall be subject to compliance with all Applicable Law, including all applicable securities laws.
