ATMI Group definition

ATMI Group and the "ADCS Group" shall refer to each member of such group, two or more members of such group, and all members of such group collectively, unless the context requires otherwise.

ATMI Group means the Company, Advanced Technology Materials, Inc., a Delaware corporation ("ATMI Sub"), and their respective subsidiaries and affiliates. This Agreement is intended to supersede your Employment Agreement with Advanced Technologies Materials, Inc., dated April 26, 2000. Upon the execution of this Agreement and the Novation Agreement included below, your April 26, 2000 Employment Agreement with Advanced Technologies Materials, Inc. will be superceded and have no further effect. Accordingly, in consideration of the premises and the mutual promises and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby expressly acknowledged, the Company and you intending to be legally bound agree as follows:

Examples of ATMI Group in a sentence

  • Likewise, you acknowledge that given your access to confidential and proprietary information of the ATMI Group and access to the employees and customers of the ATMI Group, solicitation of employees and other activities of the type described in this Section could be particularly damaging to the ATMI Group.

  • In addition, as a result of your executive position with the Company, you will have access to significant confidential, proprietary or trade secret information of the ATMI Group, so that, if you were employed by a competitor of the ATMI Group, there would be a substantial risk to the ATMI Group of your use of its confidential, proprietary or trade secret information.

  • At the Closing, the ADCS Group shall have delivered to the ATMI Group a certificate confirming the foregoing (signed on behalf of the ADCS Group by the President, General Partner, authorized member, etc., as appropriate).

  • All such Permits are in full force and effect, and there is no condition, nor has any event occurred, which constitutes or with the giving of notice, or passage of time, or both, would constitute a violation of the terms of any Permit, and to the knowledge of the ATMI Group, no suspension or cancellation of any of them is pending or threatened.

  • There is no investment banker, broker, finder or other intermediary that has been retained by or is authorized to act on behalf of the ATMI Group or any ATMI Group Subsidiary who might be entitled to any fee or commission from the ADCS Group or any other person upon consummation of the transactions contemplated by this Agreement.

  • The minute books of the ADCS Group and each ADCS Group Subsidiary as previously made available to the ATMI Group and its counsel, contain accurate records of all meetings and accurately reflect all other action of the stockholders, directors, partners and members (and committees thereof) of the ADCS Group and each ADCS Group Subsidiary.

  • Ernst & Young LLP, independent accountants to the ADCS Group and the ATMI Group, shall have delivered a "comfort" letter, addressed to the ADCS Group and the ATMI Group and dated the Closing Date, in such form and substance as is customary in connection with such transactions and is satisfactory to the ADCS Group and the ATMI Group.

  • Each of the foregoing are in full force and effect, and none of the ATMI Group, any ATMI Group Subsidiary or to the ATMI Group's knowledge, any other party to the ATMI Organizational Documents, is in violation of any of the provisions thereof.

Related to ATMI Group

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Customer Group means, collectively, Customer, its parents and Affiliates, its Agents, and its and their respective managing members, general and limited partners, officers, directors, employees, and other representatives.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • ITT has the meaning given to it in the recitals to this Framework Agreement;

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • RemainCo shall have the meaning set forth in the Preamble.

  • Verizon means Verizon Communications Inc., a Delaware corporation.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • ATS means an alternative trading system, as defined in Rule 300(a)(1) of Regulation ATS under the Exchange Act.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • AMC means Annual Maintenance Contract

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Xxxxxxx Group means (a) any member of the Xxxxxxx Family and (b) any Related Person of any such member.

  • Distribution Network Operator or “DSO” shall mean the operator of a Distribution Network.

  • Promoter Group means an immediate relative of the Promoter (i.e. spouse of that person, or any parent, brother, sister or child of the person or of the spouse); persons whose shareholding is aggregated for the purpose of disclosing in the offer document “shareholding of the promoter group”.
