Affiliated Participant definition

Affiliated Participant means any Participant controlling, controlled by, or under common control with another Participant.

Affiliated Participant means the Borrower, Member, any Project Company, and Sponsor for so long as such Person has any obligation under any Collateral Document to which it is a party and any Major Project Participant that is an Affiliate of Borrower, Sponsor, any Project Company or Member for so long as such Person has any obligation under a Material Project Document to which it is a party.

Affiliated Participant means, at any time, any Participant that, together with its Affiliates, owns beneficially (within the meaning of Rule 13d-5 of the Exchange Act as in effect on the Closing Date), directly or indirectly, in the aggregate Equity Interests representing not less than 5% of the aggregate ordinary voting power represented by the issued and outstanding Equity Interests of the Parent Guarantor. For the avoidance of doubt, for purposes of this definition, Equity Interests shall include the Convertible Second Lien Notes.

Examples of Affiliated Participant in a sentence

  • Where one (1) individual serves as the Voting Senior Officer for more than one Affiliated Participant, such individual shall have the right to vote on behalf of each such Affiliated Participant.

  • Designated Participant means a key Employee of the Company or any other Participating Company who is designated by the Committee in writing to participate in the Program.

  • Terminated Participant means a person who has been a Participant, but whose employment has been terminated other than by death, Total and Permanent Disability or retirement.

  • FTR Participant means any Market Participant that provides or is required to provide Collateral in order to participate in PJM’s FTR auctions.

  • Affiliated employee means any individual employed by a recipient who receives compensation directly from government assistance or a contract with the District of Columbia government, including any employee of a contractor or subcontractor of a recipient who performs services pursuant to government assistance or a contract.   • Plan Affiliate means any other Person with whom the First Person constitutes or has constituted all or part of a controlled group, or which would be treated or have been treated with the First Person as under common control or whose employees would be or have been treated as employed by the First Person, under Section 414 of the Code or Section 4001(b) of ERISA and any regulations, administrative rulings and case law interpreting the foregoing.

  • Participating employee means an employee whose election to participate in a Plan has been approved by the employer.

  • L/C Participant shall have the meaning provided in Section 3.3(a).

  • Affiliated Entity means any entity controlling, controlled by, or under common control with an Insured.

  • Affiliated Employer means any corporation which is a member of a controlled group of corporations (as defined in Code Section 414(b)) which includes the Employer; any trade or business (whether or not incorporated) which is under common control (as defined in Code Section 414(c)) with the Employer; any organization (whether or not incorporated) which is a member of an affiliated service group (as defined in Code Section 414(m)) which includes the Employer; and any other entity required to be aggregated with the Employer pursuant to Regulations under Code Section 414(o).

  • Disabled Participant with respect to a loan if it has no right to exercise any voting or other control rights with respect to such loan (other than the right to approve amendments to the material economic terms of such loan).

  • Affiliated Party means, with respect to any Purchaser, any person or entity which, directly or indirectly, controls, is controlled by or is under common control with such Purchaser, including, without limitation, any general partner, officer or director of such Purchaser and any venture capital fund now or hereafter existing which is controlled by one or more general partners of, or shares the same management company as, such Purchaser.

  • Participating Company means the Company or any Parent Corporation or Subsidiary Corporation.

  • Program participant means an individual certified by the secretary as a program participant under Iowa Code section 9E.3.

  • Voting Participant has the meaning specified in Section 10.06(d).

  • Inactive Participant means each Participant (other than a Retired Participant, Deceased Participant or Disabled Participant) who is not in active service as an Outside Director and is not actively employed by a Participating Company.

  • Other Participant means a cooperative project participant other than the United States.

  • Participating Employer means any trade or business (whether or not incorporated) which adopts this Plan with the consent of the Company identified in the Adoption Agreement.

  • Affiliated Company means any company controlled by, controlling or under common control with the Company.

  • Former Participant means a person who has been a Participant, but who has ceased to be a Participant for any reason.

  • Nonparty participant means a person, other than a party or mediator, that participates in a mediation.

  • Retired Participant means a person who has been a Participant, but who has become entitled to retirement benefits under the Plan.

  • Active Participant means a Participant who has satisfied the eligibility requirements under Section 3 and who has at least 1,000 Hours of Service during the current Plan Year. However, a Participant shall not qualify as an Active Participant unless (i) he is in active Service with an Employer as of the last day of the Plan Year, or (ii) he is on a Recognized Absence as of that date, or (iii) his Service terminated during the Plan Year by reason of Disability, death, or Normal Retirement.
