Acceptable Brand definition

Acceptable Brand means the "Xxxxxxx Hotels" brand or any other hotel brand that has achieved "AAA Four Diamond" rating standards in a reasonable number of its hotels or the equivalent as determined by Landlord in its reasonable discretion; provided that Tenant shall not terminate the Hotel Management Agreement that is in effect as of the Commencement Date before the date that is the third (3rd) anniversary of the later of (a) the date that the Initial Project Improvements are Complete and (b) the date that Landlord receives a copy of the final certificate of occupancy with respect to the Initial Project Improvements, unless as set forth in Section 11.5.3(f). Tenant shall not name the Resort Hotel or Convention Center with any name that includes “San Diego”. Tenant agrees to comply with all project conditions and all applicable mitigation measures, including, without limitation, those contained in the final Environment Impact Report "Chula Vista Bayfront Master Plan and Port Master Plan Amendment Final Environmental Impact Report," (UPD# #83356-EIR-658, SCH #2005081077; Document 56562), including, but not limited to, the "Mitigation Monitoring and Reporting Program", and the resolution certifying said final Environmental Impact Report, Resolution No. 2010-79, adopted by the BPC on May 18, 2010 (collectively, the “EIR”), and in the CVBMP Documents. Except as expressly provided herein, Tenant shall not use or permit the Premises and the Improvements to be used for any uses or purposes other than the Permitted Use. This restriction on use of the Premises and the Improvements absolutely prohibits a change in use by Tenant to a use that is not a Permitted Use.
Acceptable Brand means as defined in the 2015 Development Agreement.
Acceptable Brand means the “Xxxxxxx Hotels” brand or any other hotel brand that has achieved "AAA Four Diamond" rating standards in a reasonable number of its hotels or the equivalent as determined by the City in its reasonable discretion; provided that RIDA shall not terminate the Hotel Management Agreement that is in effect as of the Commencement Date before the date that is the third (3rd) anniversary of the later of: (a) the date that the Resort Hotel is open for business and (b) the date that the Convention Center is open for business, unless as set forth in this Sublease or the Ground Lease. ACTUAL CAPITAL INVESTMENT: defined in Exhibit B-2 attached to this Sublease. ADA: the Americans with Disabilities Act, 42 U.S.C. §12101 (et seq.) and the regulations promulgated thereunder, as the same may be amended from time to time. ADDITIONAL BONDS: defined in the Indenture. ADDITIONAL RENT: defined in Exhibit B-2 attached to this Sublease. ADDITIONAL RENT HURDLE: ADDITIONAL RENT PERCENTAGE: defined in Exhibit B-2 attached to this Sublease. defined in Exhibit B-2 attached to this Sublease. ADVERTISING DEVICES: defined in Section 6.21 of this Sublease.   • Alternative electric supplier means a person selling electric generation service to retail customers in this state. Alternative electric supplier does not include a person who physically delivers electricity directly to retail customers in this state. An alternative electric supplier is not a public utility.

  • Approved Valuation Firm means (a) each of (i) Xxxxxxxx Xxxxx Xxxxxx & Xxxxx, (ii) Lincoln International LLC (f/k/a Lincoln Partners LLC), (iii) Duff & Xxxxxx Corp. and (iv) Valuation Research Corporation, and (b) any other nationally recognized valuation firm approved by each of the Borrower and the Administrative Agent in their sole reasonable discretion.

  • Licensed financial institution means a financial institution issued a license under this act.
