Defeasance of Series 1994 Bonds as of June 10, 2003 Pursuant to an Escrow Deposit Agreement with The Bank of New York Mellon, as escrow deposit agent (the “1994 Escrow Deposit Agent”), supported by a report of the verification agent, the MDTA provided for the payment of PFC revenues for the defeasance of the outstanding Series 1994 Bonds, and directed the 1994 Escrow Deposit Agent to redeem the Series 1994 Bonds on or before July 1, 2004.
As of June 10, 2003, The Bank of New York Mellon, as Trustee, certified that the pledged money in the General Account of the MDTA under the 1985 Trust Agreement, as theretofore amended and supplemented, and a Seventh Supplemental Trust Agreement thereto, for the Series 1994 Bonds was discharged, and that all of the obligations of the MDTA with respect to payment of the principal or redemption price and interest on the Series 1994 Bonds are satisfied.
In order to provide for the refunding of an equal outstanding principal amount of the 1994 Bonds, maturing January 15, 2004, the Authority agrees that it will issue and sell its Bonds in the aggregate principal amount of $19,975,000 and will cause them to be delivered to their purchasers.
The Authority agrees, upon the terms and conditions in this Agreement, to lend to the Company the proceeds received by the Authority from the sale of the Bonds in order to provide for the refunding of the outstanding principal amount of the 1994 Bonds maturing January 15, 2004 by depositing those proceeds with the Trustee in accordance with Section 701 of the Indenture.
In furtherance of the purposes set forth in the Act, the Authority is undertaking the refunding of $19,975,000 principal amount of the 1994 Bonds maturing January 15, 2004 by the issuance and sale of its Pollution Control Revenue Refunding Bonds (Commonwealth Edison Company Project) Series 2003D (the “Bonds”).
