Year Five Clause. EV Charging Service Provider reserves the right to replace the L2 Chargers at the Project Site with an equipment that is comparable or better to the equipment that was previously installed. EV Charging Service Provider will give notice to Site Host of its intent to replace the Equipment on or before the Termination Date. If EV Charging Service Provider notifies the Site Host of such intent at or near the Termination Date, EV Charging Service Provider will then replace the L2 Chargers no later than 120 days after the Termination Date. The terms of this Agreement will remain in effect during that 120- day period after the Termination Date. Site Host will take all reasonable steps to allow EV Charging Service Provider to remove the pre-existing L2 Chargers and replace the pre- existing L2 Chargers with new equipment. EV Charging Service Provider shall bear the cost to remove and replace the pre-existing L2 Chargers. The removed pre-existing L2 Chargers will then become the exclusive property of EV Charging Service Provider. If EV Charging Service Provider elects to replace the L2 Chargers, this will cause the termination date of the Agreement to extend for an additional five (5) year term from the Termination Date. If existing L2 Chargers is replaced with new equipment, site host grants all interest to EV Charging Service Provider of any rebate associated with equipment replacement.

  • Distributions; Xxxxxx Xxx Guaranty On or before each Determination Date (or as soon thereafter as is reasonably practicable), Xxxxxx Mae shall calculate the Lower Tier Distribution Amount for the current calendar month. On each Distribution Date, Xxxxxx Xxx shall withdraw from the Certificate Account the portion of the Lower Tier Distribution Amount distributable thereon and shall make the distributions to the Holders of the related Lower Tier Regular Classes in the respective amounts and in the applicable manner determined pursuant to Section 2.02. In the event that the amount on deposit in the Certificate Account on any Distribution Date shall be less than the applicable portion of the Lower Tier Distribution Amount distributable thereon, Xxxxxx Mae shall provide from its own funds the amount of any such insufficiency. In addition, in the event that (i) the applicable portion of the Lower Tier Distribution Amount shall be insufficient to pay all interest due and payable on the related Lower Tier Regular Classes on such Distribution Date or (ii) such Distribution Date is a Final Distribution Date for any Class and the distribution on such Distribution Date of the applicable portion of the Lower Tier Distribution Amount will not be sufficient to reduce the Class Balance of such Class to zero on such Final Distribution Date, then Xxxxxx Xxx shall (a) withdraw from the Certificate Account, such amount as shall be necessary to remedy such insufficiency and (b) to the extent that funds in the Certificate Account shall be insufficient therefor, apply its own funds towards remedying the same.

  • Statutory Savings Clause Nothing contained herein shall be construed to deny or restrict to any employee such rights as he may have under New Jersey School Laws or other applicable laws and regulations. The rights granted to employees hereunder shall be deemed to be in addition to those provided elsewhere.

  • Xxxxxxx Clause 3.10 The Business Manager of the Union shall have the right to appoint a Xxxxxxx at any shop or job or on any crew where workers are employed under the terms of this Agreement. The Employer shall not make transfer of any Xxxxxxx from the shop or job or crew to which he was appointed to another shop or job or crew without first having notified the Business Manager of the Union of his/her desire to make such transfer and having secured Union's approval of the transfer proposed.
