Y2K Matters. All software (including microcode, firmware, application programs, files, and databases) used, developed or designed by the Company, when operated on the computer hardware now used for that purpose or for which such software was designed or developed: (i) operated before and during, and will continue to operate after the calendar year 2000 A.D. without any errors relating to date data that represents or references different centuries or more than one century; (ii) did not and will not abnormally end or provide incorrect results as a result of date data that represents or references different centuries or more than one century; (iii) recognized and will continue to recognize the century in date data and performs and will continue to perform all date calculations in a manner that accommodates multi-century formulas and date values; (iv) includes an indication of century in all date-related user interfaces and data interfaces; (v) recognizes and correctly processes dates and date data involving leap years; (vi) displays and prints all date data in four-digit format; and (vii) performs all sorting operations that include a year category on the basis of four-digit dates.

Y2K Matters. 20 Section 3.20
Y2K Matters. Except as set forth on Schedule 3.19, neither the Company nor any Subsidiary has any obligation under warranty agreements, service agreements or otherwise to remedy any information technology defect relating to the transition to the year 2000.
Y2K Matters. The Forstmann & Company, Inc. Year 2000 Readiness Plan and the Bank of Montreal Year 2000 Questionnaire (to the extent that information therein has been provided by Seller) shall be true and correct in all respects.
Y2K Matters. All information technology presently expected to be used by the Company or any Subsidiary on or following December 31, 1999 in the administration and the business operations of the Company or any Subsidiary, including, without limitation, in all products and services (i) provided by the Company or any Subsidiary whether to third parties or for internal use or (ii) to the best of the Company's knowledge after reasonable investigation, used in combination with any information technology of its clients, customers, suppliers or vendors, accurately processes or will process date and time data (including, but not limited to, calculating, comparing and sequencing) from, into and between the years 1999 and 2000 and the twentieth century and the twenty-first century, including leap year calculations and neither performance nor functionality of such technology will be affected by dates prior to, during and after the year 2000. Except as set forth on Schedule 3.19, neither the Company nor any Subsidiary has any obligation under warranty agreements, service agreements or otherwise to remedy any information technology defect relating to the year 2000.
Y2K Matters. To the Borrower's Knowledge, any reprogramming required to permit the proper functioning, in and following the year 2000, of (i) the Borrower's computer systems and (ii) equipment containing embedded microchips (including systems and equipment supplied by others or with which Borrower's systems interface) and the testing of all such systems and equipment, as so reprogrammed, will be completed by January 1, 1999. The cost to the Borrower of such reprogramming and testing and of the reasonably foreseeable consequences of year 2000 to the Borrower (including, without limitation, reprogramming errors and the failure of others' systems or equipment) will not result in a Default or have any material adverse effect. Except for such of the reprogramming referred to in the preceding sentence as may be necessary, the computer and management information systems of the Borrower and its Subsidiaries are and, with ordinary course upgrading and maintenance, will continue to be, sufficient to permit the Borrower to conduct its business without material adverse effect.

  • UCC Matters Such Seller shall not change its state of organization or incorporation or its name, identity or corporate structure such that any financing statement filed to perfect the Purchaser’s interests under this Agreement would become seriously misleading, unless such Seller shall have given the Purchaser not less than thirty (30) days’ prior written notice of such change.

  • SEC Matters (a) The Company has timely filed, within the time periods or extensions thereof prescribed under the Securities Act or the Exchange Act, as applicable, and the rules and regulations thereunder, all forms, reports and other documents required to be filed by it with the SEC since June 1, 2010 (collectively, the “Company Reports”). As of their respective dates (or, if amended, supplemented or superseded by a filing prior to the date of this Agreement, as of the date so amended, supplemented or superseded), the Company Reports (i) complied in all material respects with the applicable requirements of the Securities Act, the Exchange Act, and the rules and regulations thereunder, and (ii) did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements made therein, in the light of the circumstances under which they were made, not misleading. Each of the consolidated balance sheets included in the Company Reports (including the related notes and schedules) fairly presented in all material respects the consolidated financial position of the Company and its Subsidiaries as of the respective dates thereof and each of the consolidated statements of operations, cash flows and stockholders’ equity included in the Company Reports (including any related notes and schedules) fairly presents in all material respects the results of operations, cash flows or changes in stockholders’ equity, as the case may be, of the Company and its Subsidiaries for the periods set forth therein, in each case in accordance with GAAP consistently applied during the periods involved, except, as may be indicated in the notes thereto and, in the case of unaudited statements, for normal year-end audit adjustments. The principal executive officer of the Company and the principal financial officer of the Company (and each former principal executive officer or principal financial officer of the Company) have made the certifications required by Sections 302 and 906 of the Xxxxxxxx-Xxxxx Act of 2002 (the “Xxxxxxxx-Xxxxx Act”), and the rules and regulations of the SEC promulgated thereunder with respect to the Company Reports that were required to be accompanied by such certifications. For purposes of the preceding sentence, “principal executive officer” and “principal financial officer” shall have the meanings given to such terms in the Xxxxxxxx-Xxxxx Act.
