Labour Matters except as disclosed in Schedule 2.1.28, there are no strikes or other labour disputes against it and pending or, to the best of its knowledge and belief after due inquiry, anticipated which could reasonably be expected to have a Material Adverse Effect and there are no complaints or charges against it pending or, to the best of its knowledge and belief, after due inquiry, threatened to be filed with any governmental or regulatory body or arbitrator based on, arising out of, in connection with, or otherwise relating to the employment or termination of employment by it which could have a Material Adverse Effect;
Labour Matters means matters involving the Corporation in the representation of employers as an employer’s organization generally under the Labour Relations Act (Ontario) or any labour-related contracts entered into by the Corporation for or with its members and including, without limiting the generality of the foregoing, labour negotiations, collective agreements as defined by the Labour Relations Act (Ontario), the administration and interpretation of collective agreements and arbitration of any disputes there under, and all matters relating to an application for accreditation under the Labour Relations Act (Ontario) and necessarily incidental to the carrying out of the responsibilities of an accredited employer’s organization as defined by the Labour Relations Act (Ontario).
Labour Matters. All collective bargaining agreements relating to the operations of the Purchased Businesses are identified in Schedule 5.17 - Collective Agreements. Except as disclosed in Schedule 5.17 - Collective Agreements: (a) the Vendor is not a party to or bound by any collective bargaining or similar agreement with any labour organization applicable to the Purchased Businesses; (b) there is no labour strike, dispute, slowdown, work stoppage, unresolved material labour union grievance or labour arbitration proceeding pending or, to the knowledge of the Vendor, threatened against the Vendor; and (c) to the knowledge of the Vendor, there are no current union organizing activities among the Employees.

Labour Matters. Except as set forth in Schedule 3.1(s), there are no collective bargaining or other labour union agreements to which Gold Cap or any of the Gold Cap Subsidiaries is a party or by which any of them is bound. Neither Gold Cap nor any of the Gold Cap Subsidiaries has been subject to any labour union organizing activity, or had any actual or threatened employee strikes, work stoppages, slowdowns or lockouts.

Labour Matters. Except as set out in Schedule 5.1.28: (a) there is no unfair labour practice complaint under the Ontario Labour Relations Act related to the Business ongoing, or, to the best of the Vendor's knowledge, pending or contemplated before any labour tribunal or similar agency; (b) to the knowledge of the Vendor, there are no threatened or apparent organizing activities involving employees of the Business and there is no labour strike threatened against, or involving, the Business; (c) there is no certification application outstanding respecting the Vendor Employees; (d) there is no grievance or arbitration proceeding of any Governmental Authority relating to the Vendor Employees pending, nor is there any such proceeding threatened against the Vendor, which might have a material adverse affect on the Business or on the conduct of the Business; (e) no collective agreement is currently being negotiated by the Vendor in respect of the Business; (f) there are no Vendor Employees of the Vendor in receipt of, or who have claimed benefits under, any weekly indemnity, long term disability or Workers' Compensation plan or arrangement or any other form of disability benefit program.
