WATER EXHIBITS. The Council will NOT allow or permit the use of any displays or equipment containing water. COUNCIL RIGHT TO RESTRICT DISPLAYS. The Council reserves the right to restrict exhibits, ads, or other displays which are objectionable because of noise, glaring or flashing lights, method of operation, or any other reason, and also to prohibit or evict any exhibit which, in the sole opinion of the Council, may detract from the general character of the exhibit show. This reservation includes persons, things, conduct, printed material or anything the Council judges to be objectionable. In the event of such restrictions or eviction, the Council is not liable for any refund or any amount paid hereunder. No display materials exposing an unfinished surface to neighboring booths will be permitted Demonstrations must be so located that crowds collected will be within Vendor’s space, and not blocking aisles or neighboring exhibits. COPYRIGHT, TRADEMARK, & PRIVACY. Vendor hereby grants the Council a non-exclusive, worldwide, royalty- free license to display its licensed products, trademark, service mark, service name, trade name, logo, or other device used to identify and distinguish your products and services in such manner and on such medium (print, digital, etc.) as the Council may determine in its discretion solely for purposes related to this Agreement. Vendor warrants that it has the authority to grant the Council this permission. The Council must approve all forms of advertising, publicity or other use by Vendor of the Council on Foundations logo, name, or any other items copyrighted by or licensed to the Council. Vendor will also obtain all licenses and permissions that may be required in order for the Vendor to show, reproduce, exhibit, display, copy, distribute and/or perform such images, third-party trademarks and logos, music, and/or copyrighted materials as are part of any booth, display, or presentation as the exhibitor anticipates using and does use at this Council conference. In any case, the Vendor warrants that it will have adequate permissions or licenses for the conference that are in place and effective at the time of the conference, and that copies of such permissions will be available for physical inspection at the Council’s request. The Council recommends that the Vendor provide or have available to the Council at the conference a flash drive or similar digital device that evidences all such permissions. In the event that any inconsistency or conflict exists between the provisions of this Agreement and any schedules, attachments or exhibits attached hereto, the provisions of this Agreement shall supersede the provisions of any such schedules, attachments or exhibits.

  • Definitions and Exhibits The following terms when used in this Agreement shall be defined as follows:

  • Character of Exhibits The Exhibitor agrees to display only products or services sold in the regular course of business and as described in this contract. Each exhibit must comply with all applicable laws, codes and ordinances. Exhibits shall be dignified in character and, in the judgment of Show Management, not offensive to the general public. The Show Management reserves the right in its sole discretion to reject and/or remove any exhibit or portion of exhibit not in keeping with this rule or purpose of the show.

  • Recitals and Exhibits The foregoing recitals and any attached exhibits are material to this Agreement and are incorporated into and made a part of this Agreement.
