Warranties and Product Claims. SCHEDULE 3.28 summarizes any differences in the warranties offered by, or the warranty or repair practices of, or extended warranties offered by, Coastline or any Distribution Center from those offered by ICP with respect to ICP Products. There is not presently, nor has there been in the past three (3) years, any failure of any product sold by Coastline or any Distribution Center which did, or which reasonably could be expected to, require a general recall or repair or replacement campaign that could have a material adverse effect upon the Acquired Business. With the exception of product claims covered by the manufacturer's warranties, no product liability claim is pending or, to the Knowledge of ICP, threatened against Coastline, CDS Holdings or ICP (with respect to the Acquired Business). Warranties and Product Claims. (a) Each product manufactured, sold, leased, or delivered in commercial release form by the Company or its subsidiaries either is and has been in conformity with all applicable contractual commitments in all material respects and all express and implied warranties related thereto in all material respects or has been (or is in the process of being) repaired or replaced by the Company, and neither the Company nor any of its subsidiaries has any liability (and, to the knowledge of the Company, there is no basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim, or demand against the Company or any of its subsidiaries giving rise to any material liability) for replacement or repair thereof, except as contemplated by applicable contractual commitments and warranties, or other damages in connection therewith that is not fully covered by third-party insurance (with commercially reasonable deductibles). No product manufactured, sold, leased, or delivered by the Company or any of its subsidiaries is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions or contractual modifications set forth in the sale or lease contracts of the Company and its subsidiaries. Complete and correct copies of the standard terms and conditions or contractual modifications set forth in the sale or lease contracts of the Company and its subsidiaries (containing applicable guaranty, warranty, and indemnity provisions) have been delivered to Alcatel.

Schedule 5.17 of the Disclosure Schedule contains a description of all product liability claims and similar claims, actions, litigation and other proceedings relating to Products which are presently pending or which to Company's knowledge are threatened, or which have been asserted or commenced against Company within the last two (2) years, in which a party thereto either requests injunctive relief (whether temporary or permanent) or alleges damages in excess of $100,000.00 (whether or not covered by insurance). To the best of the Company's knowledge, there are no defects in design, construction or manufacture of Products which would adversely affect performance or create an unusual risk of injury to persons or property. Except as set forth on Schedule 5.17, none of the Products has been the subject of any replacement, field fix, retrofit, modification or recall campaign other than in the ordinary course of business. The Products have been designed and manufactured so as to meet and comply with all governmental standards and specifications currently in effect, and have received all governmental approvals necessary to allow their sale and use. As used herein, the term "Products" means any and all products currently or at any time previously manufactured, distributed or sold by Company, or by any predecessor of Company under any brand name or xxxx under which products are or have been manufactured over the last three (3) years, distributed or sold by Company, in or through the Business.

  • Disclaimer of Implied Warranties The warranty set forth herein is in lieu of, and ‘Reseller’ expressly disclaims all other product warranties of any kind whatsoever whether express, implied, statutory, arising by course of dealing or performance, custom, usage in the trade or otherwise, any warranty of merchantability, or fitness for a particular purpose, and in any event no such implied warranty has applicability beyond the time period covered by this warranty.
