U.S. EXPORT RESTRICTIONS. Customer acknowledges that the Licensed Materials and all related technical information, documents and materials are subject to export controls under the U.S. Export Administration Regulations. Customer covenants and agrees to comply with all import and export control regulations of the United States with respect to the Licensed Material. Customer acknowledges that it may not re-export or divert the Licensed Material or any related technical information, document or material, or direct derivatives thereof, to any country set forth on the U.S. Department of Commerce’s list of T-5 countries (currently, Cuba, Iran, North Korea, Sudan and Syria), including any future changes to the government’s list of T-5 countries.

Where such products are subject to such controls, TROPICAL will (i) comply strictly with all legal requirements established under these controls, and (ii) cooperate fully with ASTRIS in any official or unofficial audit or inspection that relates to these controls, and (iii) not export or re-export any such products without the appropriate United States and foreign governmental licenses or approval.

Company shall be responsible for determining and monitoring which end-users, if any, are subject to U.S. export restrictions. VAR is responsible for providing the names of potential end users to Company for clearance prior to entering into any purchase orders with such end users. Company reserves the right to reject any purchase orders from end users subject to U.S. export restrictions.
