Trading Relationships. (a) Except in the ordinary course of business, no customer of or supplier to the Company has ceased to deal with the Company or has indicated an intention to cease to deal with it, either in whole or in part and no such Person is likely to cease to deal with it or deal with the Company on a smaller scale (whether as a result of the execution, delivery and performance of the terms of this Agreement and the other Ancillary Agreements or for any other reason).

Trading Relationships. No material customer of or supplier to any Group Company has at any time in the 12 months before the date of this agreement ceased to deal with that Group Company or materially reduced the level of its custom from or supply to that Group Company or indicated an intention to do so and as far as the Sellers are aware no customer or supplier will take any such action as a result of the transactions contemplated by this agreement.

Trading Relationships. During the three (3) months preceding the date on which this warranty is given, no Significant Customer of or Significant Supplier to any Group Company has ceased to deal with that Group Company or has given notice in writing, or to the best of each Sellers’ knowledge and belief after due and appropriate inquiry, has given verbal notice, to an officer or director of CCBG or SMC of an intention to cease to deal with that Group Company, either in whole or in part. The Seller is not aware of any facts or circumstances that would make it reasonably likely for such person to cease to deal with that Group Company.
Trading Relationships. During the 12 months preceding the Completion Date no customer of the Company who contributed five (5) per cent. or more of annual sales of the Company or supplier of the Company who supplied five (5) per cent. or more of the aggregate value of all purchases by the Company has ceased to deal with the Company or has indicated an intention to cease to deal with the Company, either in whole or in part, and, to the best of the knowledge, information and belief of the Vendors, no such person is likely to cease to deal with the Company or deal with the Company on a reduced level (whether as a result of the acquisition of the Shares by the Purchaser or other performance of the terms of this Deed or for any other reason).
Trading Relationships. (a) Since the Last Accounts Date no significant customer of LTWJi has ceased to deal with LTWJi or has indicated an intention to cease to deal with LTWJi, either in whole or in part.

  • Banking Relationships Schedule 3.22 shows the names and locations of all banks, trust companies and other financial institutions in which the Company has accounts, lines of credit or safety deposit boxes and, with respect to each account, line of credit or safety deposit box, the names of all Persons authorized to draw thereon or to have access thereto.

  • Reporting Relationship Executive shall report to the Company’s chief executive officer.

  • Relationships Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint venturer or employee of the other party for any purpose.

  • Customer Relationships The Executive understands and acknowledges that the Company has expended significant resources over many years to identify, develop, and maintain its clients. The Executive additionally acknowledges that the Company’s clients have had continuous and long-standing relationships with the Company and that, as a result of these close, long-term relationships, the Company possesses significant knowledge of and confidential information about its clients and their needs. Finally, the Executive acknowledges the Executive’s association and contact with these clients is derived solely from Executive’s employment with the Company. The Executive further acknowledges that the Company does business throughout the United States and that the Executive personally has significant contact with the Company’s clients and customers solely as a result of Executive’s relationship with the Company.

  • Other Relationships Any Agent and any other person, whether or not acting for itself, may acquire, hold or dispose of any Note, Coupon, Talon or other security (or any interest therein) of the Issuer or any other person, may enter into or be interested in any contract or transaction with any such person, and may act on, or as depositary, trustee or agent for, any committee or body of holders of securities of any such person, in each case with the same rights as it would have had if that Agent were not an Agent and need not account for any profit.
