Top Customers. Schedule 4.16 sets forth the names of the top twenty-five (25) customers of each Seller by aggregate during the years ended December 31, 2018 and 2019 and year to date through March 27, 2020 (such customers being the “Top Customers”), together with the amount of such aggregate revenue and percentage of total revenue. Except as set forth on Schedule 4.16, to Sellers’ Knowledge, Sellers maintain good relations with each of the Top Customers and, to Sellers’ Knowledge, no event has occurred that would have a Seller Material Adverse Effect on any Seller’s relations with any such Top Customer. Except as set forth on Schedule 4.16, none of the top Customers has advised any Seller, whether verbally or in writing that it intends to cease or diminish purchasing any services from Sellers or the Business.

Top Customers. Section 4.27 of the Company Disclosure Schedule contains a true and correct list of the top 20 resellers and registrars of the Company by revenue for each of the 12-month period ended December 31, 2015 and the 12-month period ended December 31, 2016 (each such customer, a “Top Customer”). Since December 31, 2015 through the date hereof, neither Seller nor any of its Subsidiaries has received written or, to the Knowledge of Seller, oral notice that any Top Customer intends to (a) discontinue or terminate purchasing Company Products or materially reduce the rate at which Company Products are purchased, (b) reduce the volume of business transacted with the Company or any of its Subsidiaries below historical levels or (c) otherwise change other material terms of its business with the Company or any of its Subsidiaries.
Top Customers. To the Knowledge of the Company, since January 1, 2011, there has not been any material adverse change in the business relationship of the Company or any of the Company Subsidiaries with any of their 20 largest customers based on consolidated revenues (each, a “Top Customer”), and neither the Company nor any of the Company Subsidiaries has received any written communication or written notice from any Top Customer to the effect that such Top Customer (a) has, in any material and adverse respect, changed, modified, amended or reduced, or intends to, in any material and adverse respect, change, modify, amend or reduce, its business relationship with the Company or any of the Company Subsidiaries, or (b) will fail to perform in any material respect, or intends to fail to perform in any material respect, its obligations under any of its Contracts with the Company or any of the Company Subsidiaries.
Top Customers. Except as set forth on Schedule 3.13 of the Seller Disclosure Letter, no Seller, Conveyed Entity or any of their Affiliates has received any written notice or other written communication indicating that any Top Customer intends to cease dealing with the Business or otherwise materially reduce the volume of business transacted by any Top Customer with the Business and, to the Knowledge of Sellers, no such Top Customer intends to do so.
Top Customers. Sellers shall continue to have maintained a good business relationship with each of the Top Customers set forth on Schedule 4.16 that are marked with an asterisk, and none of such Top Customers shall have advised or indicated to any Seller or Buyer, whether verbally or in writing, that it intends to cease or diminish purchasing any services from Sellers or the Business (as operated by Buyer) after Closing.
Top Customers. Schedule 4.24 lists, by dollar volume received, as applicable, for each of (a) the twelve (12) months ended on December 31, 2019 and (b) the period from January 1, 2020 through the Interim Balance Sheet Date, the ten (10) largest customers of the Company (the “Top Customers”) and the ten largest suppliers of goods or services to the Target Companies (the “Top Suppliers”), and the amounts received and paid in such periods. The relationships of the Company with such customers are good commercial working relationships and (i) no Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any material relationships of such Person with the Company, (ii) no Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its material relationships with the Company or intends to stop, decrease or limit materially its products or services to the Company or its usage or purchase of the products or services of the Company, (iii) to the Company’s Knowledge, no Top Customer intends to refuse to pay any amount due to the Company or seek to exercise any remedy against the Company, (iv) the Company has not within the past two (2) years been engaged in any material dispute with any Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement and the Ancillary Documents will not adversely affect the relationship of the Company with any Top Customer.
Top Customers. The section of the Seller Disclosure Schedule corresponding to this Section 3(b)(xxiii) sets forth a complete and correct list of the top 10 customers by dollar volume of the Targets, taken as a whole, during the fiscal year ended May 31, 1998. Except in the ordinary course, to the Knowledge of the Seller none of such customers intends to cease doing business with either of the Targets or to significantly reduce the general level of business it is currently doing with either of the Targets.

Top Customers. Schedule 4.26 lists the Company’s top five customers in order of gross revenue of the Company (on a consolidated basis with the Company and all of its Subsidiaries), along with the gross revenue of the Company, for each of the years ended December 31, 2020 and December 31, 2021 and the estimated gross revenue for the calendar year 2022. Except as set forth on Schedule 4.26, none of such customers cancelled or terminated its Contract with the Company prior to expiration of such Contract’s term or stopped, adversely changed the terms (related to payment, price or otherwise) with respect to or decreased the rate of purchasing products or services from the Company or its Subsidiaries, or has provided written notice to the Company or any of its Subsidiaries of an intent to do any of the foregoing, including after consummation of the Transactions.
Top Customers. “Top Customers” shall have the meaning set forth in Section 2.11(c).
Top Customers. Schedule 4.11(d) includes a true and complete list of the top twenty (20) customers of the Media Business, determined based on revenue, for each of the calendar years ended on December 31, 2019 and December 31, 2020 and the ten (10) months ended October 31, 2021 (the “Top Customers”) and the revenue of Seller attributable to each Top Customer during such time. Except as set forth on Schedule 4.11(d), no Top Customer from the ten (10) months ended October 31, 2021 has materially modified or decreased materially, or, to the Knowledge of Seller threatened to or intends to, materially modify or decrease materially its relationship with or business with the Business. To the Knowledge of Seller, none of the execution, delivery and performance of this Agreement or any Ancillary Document will have a material negative impact on the relationship of the Business with any Top Customer.
