THE SERVICES AND THE SPECIFIED EQUIPMENT. Whilst NR is interested in further discussions with VTEC regarding its proposals in Schedule 5, it cannot yet confirm that the capacity exists to offer the sale of the track access rights described within it. We are currently undertaking a Capacity Study to determine if capacity exists to provide for the rights requested in both this Application and other relevant Applications, including an analysis of the proposed timetables against performance implications, in order to ascertain whether or not NR can support the rights requested by VTEC in Schedule 5. NR will only consider the agreement of more protection than table 2.1 provides, if the customer can provide evidence of a commercial need. SCHEDULE 5 – Detailed Comments The following comments are made regarding the drafting of the proposed rights, whilst noting that the provision of commercial justification would be prerequisite to any further discussion. Comments specific to Schedule 5, Parts A, B, C: NR notes that a new service group structure has been proposed and welcomes the numbering in the Description section of the tables which makes it easier to understand the make up of the rights. Paragraph 3, Intervals: • NR notes the Train Service Codes (“TSC”) are to be confirmed (“TBC”) for each Service Group in Table 3.1. • NR notes the table heading in Table 3.1 is bespoke as it includes explicit reference to clockface departures. In its “Reform of Access Contractual Arrangements Schedule 5 Conclusions” XXX recognised that the revised Service Interval table could potentially be used for such one way flex, but did not contemplate bespoking of the table heading. • NR notes the heading above paragraph 3.1 is bespoke as it includes “& Clockface” and paragraphs 3.1 to 3.4 include bespoke wording when compared to the Model Contract. • In the absence of commercial justification, it is merely noted that the proposed level of flex is minimal and is less than the signalling headway, thus it effectively hardwires the train path to an extent that NR would not support. Paragraph 3.4 (b) appears to provide that consecutive trains should be at fixed intervals providing no scope for the effective use of the already limited flex.
THE SERVICES AND THE SPECIFIED EQUIPMENT. Whilst NR is interested in further discussions with EC regarding its proposals in Schedule 5, it cannot yet confirm that the capacity exists to offer the sale of the track access rights described within it. The objective of the study is to determine if capacity exists to provide for the rights requested in both this Application and any other relevant Applications. When this work is complete, it may provide a better indication of whether we can agree to any of the proposals listed in this Schedule 5. It is anticipated that the study will be complete by the end of July. This date is subject to change if the remit is changed. NR position on network wide sale of access rights NR has recently reviewed its approach to the sale of access rights and as a result would only consider the agreement of more protection than table 2.1 provides, if the customer can provide evidence of a commercial need.   • Service Location and Equipment The AGENCY must request in writing and said request must be approved in writing by the COUNTY’S Manager of the CCC or designee, prior to any change in the dates, times, and locations of services provided in this Contract.

  • Professional Services Warranty Kodak warrants that it shall perform Professional Services in a professional manner using appropriately skilled personnel in accordance with generally accepted industry standards and Kodak’s then current policies and procedures. Subject to the provisions of condition 16.1 Customer’s sole and exclusive remedy under the warranty described in this condition shall be, at Kodak’s option, (1) re-performance of the non-conforming Professional Services, or (2) refund of the amount paid by Customer for the non-conforming Professional Services.

  • Services, Materials, and Equipment Unless otherwise specified, the Contractor shall provide and assume full responsibility for all services, materials, equipment, labor, transportation, construction equipment and machinery, tools, appliances, fuel, power, light, heat, telephone, water, sanitary facilities, temporary facilities, and all other facilities, incidentals, and services necessary for the construction, performance, testing, start-up, inspection and completion of the Work.

  • Services with Deliverables If Supporting Material for services define specific deliverables, HP warrants those deliverables will conform materially to their written specifications for 30 days following delivery. If Customer notifies HP of such a non-conformity during the 30 day period, HP will promptly remedy the impacted deliverables or refund to Customer the fees paid for those deliverables and Customer will return those deliverables to HP.

  • Information and Services Required of the Owner § 3.1.1 The Owner shall provide information with reasonable promptness, regarding requirements for and limitations on the Project, including a written program which shall set forth the Owner’s objectives, constraints, and criteria, including schedule, space requirements and relationships, flexibility and expandability, special equipment, systems, sustainability and site requirements.

  • Modified Indemnity Where Agreement Involves Design Professional Services Notwithstanding the forgoing, if the services provided under this Agreement are design professional services, as defined by California Civil Code section 2782.8, as may be amended from time to time, the defense and indemnity obligation under Section 1, above, shall be limited to the extent required by California Civil Code section 2782.8.

  • PUBLIC WORKS AND BUILDING SERVICES CONTRACTS Work being done under a resulting Authorized User Agreement may be subject to the prevailing wage rate provisions of the New York State Labor Law. Such work will be identified by the Authorized User within the RFQ. See “Prevailing Wage Rates – Public Works and Building Services Contracts’ in Appendix B, Clause 10, OGS General Specifications. Any federal or State determination of a violation of any public works law or regulation, or labor law or regulation, or any OSHA violation deemed "serious or willful" may be grounds for a determination of vendor non-responsibility and rejection of proposal. The Prevailing Wage Case Number for this Contract is PRC# 2014011745. SHORT TERM EXTENSION In the event a replacement Contract has not been issued, any Contract let and awarded hereunder by the State, may be extended unilaterally by the State for an additional period of up to 3 months upon notice to the Contractor with the same terms and conditions as the original Contract including, but not limited to, prices and delivery requirements. With the concurrence of the Contractor, the extension may be for a period of up to 6 months in lieu of 3 months. However, this extension terminates should the replacement Contract be issued in the interim. PROCUREMENT INSTRUCTIONS Authorized Users should refer to the documents attached as Appendix G – Processes and Forms Templates for specific instructions on the usage of this Contract. OGS reserves the right to unilaterally make revisions, changes, additions and/or updates to the documents attached as Appendix G - Processes and Forms Templates without processing a formal amendment and/or modification. SPECIFICATIONS During the term of the Contract, the Authorized User may request Product specifications for particular items that have been included by the Contractor in its Pricing Pages. These specifications will be provided by the Contractor at no cost.

  • Sub-Processors 8.1. The Data Processor has outlined in the Data Pro Statement whether the Data Processor uses any third parties (sub-processors) to help it process the Personal Data, and if so, which third parties.

  • Services and Third Party Materials A. The tvOS Software may enable access to Apple’s iTunes Store, App Store, Game Center, iCloud and other Apple and third party services, and web sites (collectively and individually, “Services”). Such Services may not be available in all languages or in all countries.   • Repair Services RIM, either directly or through its authorized service providers, will provide You with Repair Services using new or refurbished parts or a new or refurbished BlackBerry PlayBook. Any Repair Services under this Agreement are conditioned upon the return of Your BlackBerry PlayBook to RIM or a RIM authorized service provider (as set out in Your RMA form). In the event RIM provides You with a replacement BlackBerry PlayBook (an “Advanced Exchange PlayBook” or “Advanced Exchange Service”) or when the exchange of the BlackBerry PlayBook (or parts thereof) are provided under this Agreement, Your BlackBerry PlayBook or Your BlackBerry PlayBook parts received by RIM or RIM’s authorized service provider become the property of RIM and the Advanced Exchange PlayBook or BlackBerry PlayBook parts sent to You by RIM or RIM’s authorized service provider become Yours.
