TERM; RESIDENCE; DUTIES. The initial term of this Agreement shall be for three years from March 26, 1998 (the "Commencement Date"). Employee will serve as the Executive Vice President and Chief Operating Officer of the Company's Retail Division for such term, unless Employee's employment is sooner terminated as provided below (the "Employment Period"). During the Employment Period, Employee will devote all of his time to the duties provided for under the terms of this Agreement. As Executive Vice President and Chief Operating Officer - Retail Division, Employee shall have such duties as are assigned to Employee by the Board of Directors of the Company or the Company's Chief Executive Officer or President. Such duties shall be performed at the Company's office located in Boca Raton, Florida or other office in South Florida, and at such other places as the needs, business, or opportunities of the Company may require from time to time. In connection with the performance of Employee's duties, the Company will supply Employee with services and facilities reasonably appropriate to such duties and position.

TERM; RESIDENCE; DUTIES. You will serve as the President and Chief Executive Officer of the Company until your employment is terminated as provided below (the "Employment Period"). During the Employment Period you will devote substantially all of your time to the duties provided for under the terms of this Revised Agreement. As President and Chief Executive Officer of the Company, you shall have such duties as are delegated by the By-laws of the Company or are assigned to you by the Board of Directors of the Company, provided that such duties shall be reasonably consistent with those duties (x) assigned to the President and Chief Executive Officer of organizations comparable to the Company and (y) assigned to you by the Board of Directors prior to the date of this Revised Agreement. In connection with the performance of your duties, the Company will supply you with services and facilities reasonably appropriate to such duties and your position. The Company agrees that it will maintain its headquarters in the metropolitan Atlanta area, where you will maintain you principle office.

  • Employment, Position and Duties (a) The Company shall employ Executive and Executive hereby accepts employment with the Company, upon the terms and conditions set forth in this Agreement for the Employment Period.

  • Employment Duties The Company hereby employs the Executive for the Term (as defined in Section 2.1), to render exclusive (except as otherwise provided herein) and full-time services to the Company as Executive Vice President or in such other executive position as may be mutually agreed upon by the Company and the Executive, and to perform such other duties consistent with such position as may be assigned to the Executive by the Board of Directors or any officer of the Company senior to the Executive.

  • Employment Duties and Term (a) Company hereby employs Employee as the Chief Financial Officer, and Employee hereby accepts such employment with Company on the terms and conditions set forth in this Agreement. In such capacity, Employee shall perform the duties appropriate to such office or position, and such other duties and responsibilities as are assigned to him from time to time by the Board of Directors of Company (the “Board”) or the President and CEO of the Company. During the term of his/her employment with Company, Employee shall devote his/her full working time and best efforts to the performance of his/her duties under this Agreement for and on behalf of Company, and shall not work for anyone else without the express written consent of Company or engage in any activity in competition with or detrimental to Company or any affiliate of Company. Employee shall follow in all material respects all rules, policies and programs adopted from time to time by the Company and applicable to Employee.

  • Personal Duties The Employer and the Union agree that an employee will not be required to perform work not related to the business of the Employer. To this end, it is agreed that an employee will not be required to perform duties of a personal nature for supervisory personnel.

  • Higher Duties 27.1 Where an Employee on any one day performs two or more classes of work to which different rates of pay are applicable, the Employer shall pay to the Employee the higher hourly rate for the entire day if the Employee is required to work in that class of work for more than 2 hours, and if for less than 2 hours during any one day the Employee will be paid the higher rate for the time so worked.

  • Duties of the Employee The Executive represents and warrants that the performance by Executive of the Executive’s duties and obligations under this Agreement will not violate any agreement between the Executive and any other person, firm, partnership, corporation or other organization.

  • Employment Duties and Acceptance (a) The Company shall employ Executive during the Term (as defined below) as Chief Executive Officer. Executive shall be responsible for performing the duties and exercising the powers which the Board of Directors of the Company (the “Board”) may from time-to-time assign to him in his capacity as Chief Executive Officer of the Company in connection with the conduct and management of the business of the Company and its subsidiaries and affiliates.

  • STATE DISABILITY INSURANCE (SDI) A. All employees covered by this Contract will be covered under the State Disability Insurance (SDI) benefit in lieu of a Non-Industrial Disability Insurance (NDI) and Enhanced Non-Industrial Disability Insurance (ENDI) benefit as follows:
