TERM AND DURATION OF THE AGREEMENT. (a) The Agreement shall be binding on both Parties and shall come into effect 1 May 2018 and shall remain in force until 30 April 2023. This Agreement shall automatically renew itself on 1 May 2023 for a period of one (1) year, and for successive one (1) year periods thereafter, unless either Party notifies the other in writing within the period of ninety (90) days prior to 30 April 2023, and any subsequent expiry date thereafter, that it desires to bargain with a view to the renewal, with or without modifications, of this Agreement, or that it desires to bargain with a view to the making of a new Agreement.
TERM AND DURATION OF THE AGREEMENT. The LTA shall enter into force on the Effective Date of this LTA and shall be effective for an undetermined term.

(a) This Agreement shall not become effective unless and until it is approved by the board of trustees of the Trust, including a majority of trustees who are not parties to this Agreement or interested persons of any such party to this Agreement, and, to the extent required by law, a majority of the outstanding shares of the class of the Trust's stock representing an interest in the Portfolio. However, Kerala Technological University or its nominated agencies may at any time at its sole discretion waive fully or partially any of the Conditions Precedent for the Service Provider.
