TCSI. TCSI has heretofore furnished to the Lender audited consolidated financial statements for its fiscal year ended May 31, 1999 and unaudited financial statements for its fiscal quarter ended February 29, 2000; TCSI believes such financial statements fairly present the financial condition of TCSI on the dates thereof and the results of operations and cash flows for the periods then ended (subject to audit adjustments) and were prepared in accordance with GAAP. Since the date of the most recent financial statements, there has not occurred any event or circumstance that could have a Material Adverse Effect. On the Closing Date with respect to the Initial Loans and each Advance Date with respect to each Additional Loan, TCSI shall be Solvent and will remain Solvent after any transfers of Receivables pursuant to the Receivables Purchase Agreement.
