Submission to Mediator. Failing a resolution by the Parties or upon a failure to timely meet and confer, any Party may agree to submit the dispute to JAMS for random assignment to a panel mediator The Parties may then submit the dispute to the selected mediator within thirty (30) days of meeting and conferring, who shall have the authority to assist the Parties in resolving the dispute but who shall not have the authority to direct any Party to take or refrain from taking any action or to render decisions. The mediation shall be held and completed within forty-five (45) calendar days of submission unless the assigned mediator's calendar will not allow for such scheduling. In such an instance, the mediation shall be scheduled as soon as practicable.

Submission to Mediator. If the Mediator is engaged pursuant to ---------------------- Section 3.4(b), then, within ten (10) days of the engagement, the Mediator shall be furnished with a copy of this Agreement, a letter from Seller describing Seller's position on the disputed amount and a letter from Purchaser describing Purchaser's position on the disputed amount. Neither party shall make any additional submission except pursuant to the Mediator's written request. The Mediator shall have thirty (30) days to review such documents and such other information as the Mediator deems appropriate. Within such thirty-day period, the Mediator will furnish both parties with its written determination with respect to each of the unresolved price differentials in dispute. In arriving at its determination, the Mediator may select either the adjustment as proposed by the position of the Seller or by the position of Purchaser, or its own determination (provided such determination is between the Seller's or Purchaser's position) with respect to such differential. The determination of the Mediator with respect to each such adjustment will be final and binding upon the parties and a judgment, based on the Mediator's determination, may be entered into a court of competent jurisdiction in accordance with, and pursuant to, the United States Arbitration Act, 9 U.S.C., Section 1 et.seq. or the Michigan Uniform Arbitration Act, MCL, Section 600.5001 et. seq. The fee of the Mediator shall be borne by the Parties in the same proportion that the dollar amount of the disputed items lost by a party bears to the total dollar amount in dispute in the mediation. In the process of preparing and reviewing the price differential and conducting of review by either party or the Mediator, each party will grant the other party all reasonable access to the records of the Business and any workpapers, including accountant's workpapers, prepared with respect to the price differential.

Submission to Mediator. (a) At any time following thirty (30) days after referral of the Dispute to the Presidents of the Parties or such longer period as mutually agreed to by the Parties in accordance with Section 21.1, either Party may request the appointment of a mediator, following which request the Parties shall forthwith use reasonable efforts to appoint a mediator mutually acceptable to the Parties. If the Parties do not agree on the appointment of a mediator within ten (10) days of such request, then either Party may request the Senior Active District Judge for the Houston Division of the U.S. District Court for the Southern District of Texas, to appoint a mediator who, when so appointed, shall be deemed acceptable to the Parties and to have been appointed by them.

  • Submission to Arbitration The Respondent Party may agree to the Claimant Party’s proposal of arbitration by responding in writing within ten (10) Business Days following receipt of such proposal. If the Holder and the Company are unable to agree upon such determination or calculation within two (2) Trading Days following such initial notice by the Company or the Holder (as the case may be) of such dispute to the Company or the Holder (as the case may be), then the Holder may, at its sole option, submit the dispute to an independent, reputable investment bank or independent, outside accountant selected by the Holder (the “Independent Third Party”), and the Company shall pay all expenses of such Independent Third Party.

EACH OF BIONOVA AND SAVIA IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY OBJECTION THAT IT MAY NOW OR HEREAFTER HAVE TO THE LAYING OF THE VENUE OF ANY SUCH PROCEEDING BROUGHT IN SUCH A COURT AND ANY CLAIM THAT ANY SUCH PROCEEDING BROUGHT IN SUCH A COURT HAS BEEN BROUGHT IN AN INCONVENIENT FORUM.

  • Submission to Jurisdiction; Appointment of Agents for Service (a) The Company irrevocably submits to the non-exclusive jurisdiction of any New York State or United States Federal court sitting in The City of New York (the “Specified Courts”) over any suit, action or proceeding arising out of or relating to this Agreement, the Prospectus, the Registration Statement or the offering of the Shares (each, a “Related Proceeding”). The Company irrevocably waives, to the fullest extent permitted by law, any objection which it may now or hereafter have to the laying of venue of any Related Proceeding brought in such a court and any claim that any such Related Proceeding brought in such a court has been brought in an inconvenient forum. To the extent that the Company has or hereafter may acquire any immunity (on the grounds of sovereignty or otherwise) from the jurisdiction of any court or from any legal process with respect to itself or its property, the Company irrevocably waives, to the fullest extent permitted by law, such immunity in respect of any such suit, action or proceeding.

The Selling Stockholder has appointed Corporation Service Company, Albany, New York, as its authorized agent (the “Authorized Agent”) upon whom process may be served in any such action arising out of or based on this Agreement or the transactions contemplated hereby which may be instituted in any New York court by any Underwriter or by any person who controls any Underwriter, expressly consent to the jurisdiction of any such court in respect of any such action, and waives any other requirements of or objections to personal jurisdiction with respect thereto. The Selling Stockholder represents and warrants that the Authorized Agent has agreed to act as such agent for service of process and agrees to take any and all action, including the filing of any and all documents and instruments, that may be necessary to continue such appointment in full force and effect as aforesaid, unless and until a successor has been appointed as the Authorized Agent in the State of New York. The Selling Stockholder will notify the Managers of the appointment of a successor Authorized Agent prior to such appointment taking effect. Service of process upon such Authorized Agent (or any successor) and written notice of such service to the Selling Stockholder shall be deemed, in every respect, effective service of process upon the Selling Stockholder.

NOTHING HEREIN SHALL LIMIT THE RIGHT OF SECURED PARTY TO BRING PROCEEDINGS AGAINST ANY DEBTOR IN THE COURTS OF ANY OTHER JURISDICTION. ANY JUDICIAL PROCEEDING BY A DEBTOR AGAINST SECURED PARTY OR ANY AFFILIATE THEREOF INVOLVING, DIRECTLY OR INDIRECTLY, ANY MATTER IN ANY WAY ARISING OUT OF, RELATED TO, OR CONNECTION WITH THIS AGREEMENT SHALL BE BROUGHT ONLY IN A COURT IN NEW YORK, NEW YORK (AND SECURED PARTY HEREBY SUBMITS TO THE JURISDICTION OF SUCH COURT). NOTHING CONTAINED HEREIN SHALL BE DEEMED TO LIMIT IN ANY WAY ANY RIGHT OF SECURED PARTY TO SERVE PROCESS IN ANY MANNER PERMITTED BY LAW.

In the event the Issuer fails to continue such designation and appointment in full force and effect, the Issuer hereby waives personal service of process upon it and consents that any such service of process may be made by certified or registered mail, return receipt requested, directed to the Issuer at its address last specified for notices hereunder, and service so made shall be deemed completed five (5) days after the same shall have been so mailed.
