The Independent Accountant shall only decide the specific items under dispute by the parties and their decision for each Disputed Amount must be within the range of values assigned to each such item in the Closing Statement and the Statement of Objections, respectively.
The Independent Accountant’s determination of the Disputed Amount shall be based solely on written presentations submitted by the Operator and Seller which are in accordance with the guidelines and procedures (including the definitions of each of the components thereof) set forth in this Agreement (i.e., not on the basis of an independent review) and any discussions between the Independent Accountant and a party may only occur in the presence (including by telephone or video conference) of the other party.
