Shared Permits. The Partnership shall hold the Shared Permits for the benefit of each Series to the extent related to or necessary for the operation of the assets of such Series. Each Series shall have the benefit of all rights available to the Partnership under the Shared Permits to the extent related to or necessary for the operation of the assets of such Series. All decisions in respect of the Shared Permits shall be made by the Shared Asset Managers in accordance with the terms of Section 4.2 of this Exhibit E. The Partnership shall comply with such decisions or delegation of authority, as applicable. Without limiting the foregoing, promptly upon receipt and delivery as applicable, the Partnership shall provide to the Shared Asset Managers copies of all notices and other correspondence relating to the Shared Permits.

Exhibits Exhibit A Amended and Restated Articles of Association SEPARATION AND DISTRIBUTION AGREEMENT This SEPARATION AND DISTRIBUTION AGREEMENT is entered into effective as of November 15, 2017 (this “Agreement”), by and between Delphi Automotive PLC, a public limited company formed under the laws of Jersey (“Aptiv”) and Delphi Technologies PLC, a public limited company formed under the laws of Jersey and wholly owned subsidiary of Aptiv (“Delphi Technologies”). Aptiv and Delphi Technologies are each a “Party” and are sometimes referred to herein collectively as the “Parties.” Capitalized terms used herein and not otherwise defined shall have the respective meanings assigned to them in Article I.
Shared Permits. Set forth on Section 5.18 of the Seller Disclosure Schedule are all Permits issued to the Seller Parent, the Seller or an Affiliate thereof (other than the Sold Company) that are Related to the Business and also primarily relate to or are material to the businesses of Seller Parent or its Affiliates (each, a “Shared Permit”), such Shared Permits will remain with Seller Parent; provided that, prior to the Closing and for a period of 12 months after the Closing Date, Seller Parent and Purchaser shall, and shall cause each of its and their respective Affiliates to, cooperate in all reasonable respects and consultation with each other to, upon Purchaser’s reasonable request in writing, establish replacement Permits to be held by Purchaser or one of its Subsidiaries for any such Shared Permits; and provided, further, that Seller Parent and Purchaser make no representation or warranty that any Governmental Entity will agree to issue or grant any such Permit to Purchaser or its Subsidiaries. Notwithstanding anything to the contrary set forth in this Section 5.18, in no event shall Seller Parent or Purchaser or any of their respective Affiliates be required to make any payment, incur any liability, commence any litigation or make any concession to fulfill its obligations under this Section 5.18.

  • Required Permits Unless otherwise stated in the RFP documents, all local, State or Federal permits which may be required to provide the services ensuing from award of this RFP, whether or not they are known to either CMHA or the proposers at the time of the proposal submittal deadline or the award, shall be the sole responsibility of the successful proposer and any costs submitted by the proposer shall reflect all costs required by the successful proposer to procure and provide such necessary permits.

  • Work Permits The Executive shall use his reasonable best efforts to obtain, maintain and renew a suitable (for the purposes of the Executive's contemplated employment by the Company) work permit by the Bermuda government authorities and any other permits required by any Bermuda government authority. The Company shall be responsible for permit fees, and all other expenses, including legal expenses, in connection with obtaining and maintaining such work permit.

  • COMPLIANCE WITH LAWS, LICENSES, PERMITS, AND INSURANCE POLICIES A. For each Term of this Agreement, Concessionaire shall obtain, pay for, maintain, and comply with all licenses, permits, certifications, authorizations, approvals, or any other documents required by all applicable government agency having jurisdiction over the Concession Premises or the conduct of Concessionaire's operations thereon.
