SERVICES OF PARTNERS. Subject to approval by the Executive Committee (which may be in the form of the approval of an Annual Plan), the Partnership shall pay any Partner or its affiliates for goods and services, including the services of any individuals provided to the Partnership pursuant to Article 8 hereof, an amount equal to the fair market value of the goods or services provided, as set forth in the Business Plan or as determined by the Executive Committee. Any amount agreed to be paid to any Partner for goods or services provided to the Partnership shall be deemed to be the fair market value of the goods and services so provided. JINI and its affiliates shall provide to the Partnership the types of goods and services set forth on Exhibit D hereto (which Exhibit is hereby incorporated herein by reference). The charges therefor as set forth on Exhibit D are hereby deemed to be the fair market value for such goods and services.

SERVICES OF PARTNERS. Subject to the provisions of this Agreement, each of the Partners may engage in, invest in, and possess an interest in other business ventures of any and every type and description, including, without limitation, the ownership, operation, financing, and management of ventures of any type or kind, including ventures which may compete with the Partnership or the Funds, independently or with others, and neither the Partnership nor any Partner shall by virtue of this Agreement have any right, title or interest in or to such independent ventures.
SERVICES OF PARTNERS. (a) Except as provided in this Section 8.5 or with the consent of the General Partner, the Partnership is not authorized to enter into agreements with a Partner or any Affiliates of the Partners.

  • Services of the Adviser The Adviser represents and warrants that it is registered as an investment adviser under the Investment Advisers Act of 1940, as amended (the “Advisers Act”) and will maintain such registration for so long as required by applicable law. Subject to the general supervision of the Board of the Trust, the Adviser shall provide the following advisory, management, and other services with respect to the Series:

  • Contract for Professional Services of Physicians Optometrists, and Registered Nurses In accordance with Senate Bill 799, Acts 2021, 87th Leg., R.S., if Texas Government Code, Section 2254.008(a)(2) is applicable to this Contract, Contractor affirms that it possesses the necessary occupational licenses and experience.

  • Advisory Services The Advisor shall act as investment advisor for the Funds and shall, in such capacity, supervise all aspects of the Funds' operations, including the investment and reinvestment of cash, securities or other properties comprising the Funds' assets, subject at all times to the policies and control of the Board of Trustees. The Advisor shall give the Trust and the Funds the benefit of its best judgment, efforts and facilities in rendering its services as investment advisor.

  • Investment Advisory Services The Adviser undertakes to act as investment adviser of the Portfolio and shall, subject to the supervision of the Fund's Board of Trustees, direct the investments of the Portfolio in accordance with the investment objective, policies and limitations as provided in the Portfolio's Prospectus or other governing instruments, as amended from time to time, the Investment Company Act of 1940 and rules thereunder, as amended from time to time (the "1940 Act"), and such other limitations as the Portfolio may impose by notice in writing to the Adviser. The Adviser shall also furnish for the use of the Portfolio office space and all necessary office facilities, equipment and personnel for servicing the investments of the Portfolio; and shall pay the salaries and fees of all officers of the Fund, of all Trustees of the Fund who are "interested persons" of the Fund or of the Adviser and of all personnel of the Fund or the Adviser performing services relating to research, statistical and investment activities. The Adviser is authorized, in its discretion and without prior consultation with the Portfolio, to buy, sell, lend and otherwise trade in any stocks, bonds and other securities and investment instruments on behalf of the Portfolio. The investment policies and all other actions of the Portfolio are and shall at all times be subject to the control and direction of the Fund's Board of Trustees.
