Seller's Servicing Obligations. The Seller, as independent contract servicer, shall service and administer the Mortgage Loans during the Preliminary Servicing Period in accordance with the terms and provisions set forth in the Servicing Addendum attached as Exhibit 8, which Servicing Addendum is incorporated herein by reference.
Seller's Servicing Obligations. The Seller, as an independent contract servicer, shall service and administer the Mortgage Loans in accordance with the terms and provisions set forth in Articles III, IV, V, VII and VIII of the Sale and Servicing Agreement which sections are hereby incorporated in this Agreement in their entirety (with, however, the changes and adjustments as provided in this Agreement) as if the same were contained in this Article VII. To the extent any provision of any definition set forth in the Sale and Servicing Agreement shall conflict with any provision set forth in this Agreement, the provision or definition in this Agreement shall govern.
Seller's Servicing Obligations. The Seller, as independent contract servicer, shall service and administer the Mortgage Loans during the Interim Servicing Period, directly or through one or more Subservicers, in accordance with the terms and provisions set forth in the Servicing Addendum attached as Exhibit 9, which Servicing Addendum is incorporated herein by reference. In addition, with respect to any Mortgage Loan that is not subject to an assignable life of loan Flood Zone Service Contract or Tax Servicer Contract as of the related Closing Date, the Seller shall pay the cost incurred by the Purchaser or its designee to obtain such a contract.
Seller's Servicing Obligations. The Seller, as servicer, shall service and administer the Mortgage Loans in accordance with the terms and provisions set forth in Exhibit 9 which sections are hereby incorporated in this Agreement in their entirety as if the same were contained in this Section 11.
Seller's Servicing Obligations. With respect to the following provisions set forth in the Seller’s Warranties and Servicing Agreement annexed hereto as Exhibit 9, the Seller shall service the Mortgage Loans and be subject to all of the obligations as required by the “Company” pursuant to the Seller’s Warranties and Servicing Agreement and the Purchaser shall have all the rights as afforded the “Purchaser” thereunder:

The Seller shall transfer the servicing of the Mortgage Loans to the successor servicer designated by the Purchaser in accordance with the terms of the servicing transfer procedures provided by the Purchaser or such designated successor servicer. In addition, with respect to any Mortgage Loan that is not subject to an assignable life of loan Flood Zone Service Contract or Tax Servicer Contract as of the related Closing Date, the Seller shall pay the Purchaser sixty dollars ($60.00) for each Mortgage Loan without an assignable Tax Service Contract.
Seller's Servicing Obligations. The Seller will perform all of the Seller's Servicing obligations until each applicable Transfer Date. After each Transfer Date and through and including each Adjustment Date, the Seller shall maintain all Escrow Accounts and Custodial Accounts and perform all of its other obligations under this Agreement in compliance with all Applicable Requirements.

The Seller, as independent contract servicer, shall service and administer the Mortgage Loans during the Interim Servicing Period, directly or through one or more Subservicers, in accordance with the terms and provisions set forth in the Servicing Addendum attached as Exhibit 9, which Servicing Addendum is incorporated herein by reference. The Seller shall transfer the servicing of the Mortgage Loans to the successor servicer designated by the Purchaser in accordance with the terms of the servicing transfer procedures provided by the Purchaser or such designated successor servicer. In addition, with respect to any Mortgage Loan that is not subject to an assignable life of loan Flood Zone Service Contract or Tax Servicer Contract as of the related Closing Date, the Seller shall pay the cost incurred by the Purchaser or its designee to obtain such a contract. The Seller covenants and agrees that, on the servicing transfer date with respect to each Mortgage Loan, it shall transfer to the Purchaser all funds held in the Custodial Account with respect to such Mortgage Loan and shall transfer to the successor servicer all funds held in the Escrow Account with respect to such Mortgage Loan. Such funds shall be transferred by wire transfer in immediately available funds to the accounts designated by the Purchaser. The Seller shall deliver to the Purchaser by electronic transmission in a form acceptable to the Purchaser and the Seller a statement which includes a loan by loan summary of the amounts transferred to the Purchaser and the successor servicer. The Seller further agrees that it shall deliver to the successor servicer all funds subsequently received with respect to the Mortgage Loans on a daily basis by overnight mail.
Seller's Servicing Obligations. The Seller, as independent contract servicer, shall service and administer the Mortgage Loans during the Preliminary Servicing Period and the Interim Servicing Period, as applicable, in accordance with the terms and provisions set forth in the Servicing Addendum attached as Exhibit 8, or the Servicing Addendum attached as Exhibit 9, as applicable, which Servicing Addendums are incorporated herein by reference. The Seller agrees to act reasonably, in good faith and in accordance with all applicable laws and regulations and to do all things necessary to effect the transfer of the servicing of the Servicing Released Mortgage Loans to Purchaser including, without limitation, complying with the servicing transfer instructions set forth in Exhibit 2 attached hereto.

The Seller, as independent contract servicer, shall service and administer the Mortgage Loans the Seller sold to the Purchaser on the related Closing Date during the Preliminary Servicing Period in accordance with the terms and provisions set forth in the Servicing Addendum attached as Exhibit 8, which Servicing Addendum is incorporated herein by reference. The Prepayment Penalty Mortgage Loans. The penalty will be enforced as per the Seller and as per the Mortgage Note and will be payable to the Seller.
