Servicing Transfer Instructions. In connection with the transfer of Servicing Rights from Seller to Servicer pursuant to this Agreement, Seller and Servicer shall follow the Servicing Transfer Instructions described in the Purchase and Servicing Agreement. Seller shall use reasonable efforts to cause the related Interim Servicer to comply with the Servicing Transfer Instructions and the servicing transfer provisions set forth in each applicable Servicing Agreement and to take all steps reasonably necessary or appropriate to effectuate and evidence the transfer of the servicing of the related Mortgage Loans to Servicer.
Servicing Transfer Instructions. In connection with the transfer of Servicing Rights from Seller to Purchaser pursuant to this Agreement, Seller and Purchaser shall follow the Servicing Transfer Instructions in all material respects and shall take all steps necessary or appropriate to effectuate and evidence the transfer of the servicing of the related Mortgage Loans and Pools to Purchaser. In any instance in which the Servicing Transfer Instructions conflict with the terms of this Agreement, the terms of this Agreement shall control. Seller and Purchaser shall work cooperatively to ensure that the process of transferring the Servicing Rights complies with Applicable Servicing Requirements, including those of the Regulators, and the Servicing Transfer Instructions shall conform to such Applicable Servicing Requirements. Each of Seller and Purchaser shall comply with servicing transfer guidance issued by the Consumer Financial Protection Bureau.
Servicing Transfer Instructions. In connection with the transfer of the Servicing Rights from Seller to Purchaser pursuant to this Agreement, Seller and Purchaser shall follow the Servicing Transfer Instructions.
Servicing Transfer Instructions. The instructions detailing the procedures pursuant to which the Seller shall transfer the Servicing Rights, the Custodial Funds, and the Mortgage Files to the Purchaser, in the form set forth on Exhibit D hereto.

The Servicing Transfer Instructions may be modified following the Sale Date by mutual agreement between Purchaser and Seller and the Parties agree to negotiate in good faith any changes that may be required due to operational requirements, data requirements or otherwise. In any instance in which the Servicing Transfer Instructions conflict with the terms of this Agreement, this Agreement shall control. Section 2.5
Servicing Transfer Instructions. In connection with each transfer of the Mortgage Servicing Rights from the related Seller to Purchaser pursuant to this Agreement, such Seller and Purchaser shall follow the Servicing Transfer Instructions and the Servicing Agreements in all material respects. In any instance in which the Servicing Transfer Instructions conflict with the terms of this Agreement, this Agreement shall control unless the Purchaser and Sellers mutually agree in writing that the Servicing Transfer Instructions shall control, in which case the Servicing Transfer Instructions shall control. Sellers and Purchaser shall work cooperatively to ensure that the process of transferring the Mortgage Servicing Rights complies with Applicable Requirements, including those of the Regulator, and the Servicing Transfer Instructions shall conform to such Applicable Requirements.
Servicing Transfer Instructions. The Servicing Marketplace - Servicing Transfer Instructions, as set forth in Exhibit B, describe the submission of required information and completion of applicable forms by Seller for the transfer of servicing for the Mortgage Loan, as may be amended from time to time. The Servicing Transfer Instructions are provided to Seller by Servicer.
Servicing Transfer Instructions. In connection with the transfer of the Mortgage Servicing Rights from Seller to Purchaser pursuant to this Agreement, Seller and Purchaser shall follow the Servicing Transfer Instructions and the Servicing Agreement in all material respects. In any instance in which the Servicing Transfer Instructions conflict with the terms of this Agreement, this Agreement shall control. Seller and Purchaser shall work cooperatively to ensure that the process of transferring the Mortgage Servicing Rights complies with Applicable Requirements, including those of the Regulators, and the Servicing Transfer Instructions shall conform to such Applicable Requirements. Seller shall execute the form of letter attached as Exhibit J to authorize HUD to release all data associated with the Mortgage Loans to Purchaser to facilitate the transfer of the servicing of the Mortgage Loans.
Servicing Transfer Instructions. In connection with the transfer of the Servicing Rights from the Seller to the Purchaser pursuant to this Agreement, each of the Seller and the Purchaser shall comply, and the Purchaser shall cause the Subservicer to comply, with the Servicing Transfer Instructions in all material respects, and take, or cause the Subservicer to take, all steps necessary or appropriate to effectuate and evidence the transfer of the servicing of the related Mortgage Loans to the Purchaser. The Servicing Transfer Instructions may be modified from time to time by mutual agreement between the Purchaser and the Seller and the Parties agree to negotiate in good faith any changes that may be required due to operational requirements, data requirements or otherwise. In any instance in which the Servicing Transfer Instructions conflict with the terms of this Agreement, this Agreement shall control.

In any instance in which the Servicing Transfer Instructions conflict with the terms of this Agreement, the terms of this Agreement shall control. In connection with the transfer of the Servicing Rights, the Parties acknowledge and agree that, after the Sale Date, Purchaser will perform for Seller’s benefit all necessary services required of Seller under the Servicing Transfer Instructions as set forth in the Transition Services Agreement.
