RULE 506 EXEMPTION. Each U.S. Holder shall have in a timely manner provided SAFLINK with such representations, warranties, certifications and additional information (including the Regulation D Investment Letter) as SAFLINK may reasonably request to ensure that the issuance of SAFLINK Common Stock to the U.S. Holders shall be exempt from registration under the Securities Act pursuant to Rule 506 of Regulation D promulgated under the Securities Act. SAFLINK shall be reasonably satisfied as to the availability of such exemption, including as to the representation of each U.S. Holder who is not an "accredited investor" (as such term is defined in Rule 501) at all pertinent times by a "purchaser representative" (as such term is defined in Rule 501). Without limiting the generality of the foregoing, no more than 35 shareholders of Jotter shall be determined by SAFLINK in its reasonable judgment not to be "accredited investors" as defined in Rule 501, and all U.S. Holders who are so determined not to be accredited investors shall have agreed to be represented by a purchaser representative (whose qualifications to serve as such representative under Rule 506 of Regulation D shall be reasonably satisfactory to SAFLINK) in connection with such U.S. Holder's consideration of the Merger.

RULE 506 EXEMPTION. The offering of HBI Common Stock to Holders of CBI Common Stock who are Accredited Investors (each, an “Eligible Holder”) is being made pursuant to the exemption from registration under Section 4(2) of the Securities Act and Rule 506. Each Eligible Holder must deliver his or her Transmittal Form, including the Required Rule 506 Representations, as a condition to receipt of his or her portion of the Merger Consideration.

RULE 506 EXEMPTION. The offering of Class B Preferred Stock to Holders of MBI Common Stock is being made pursuant to the exemption from registration under Section 4(2) of the Securities Act and Rule 506. Each Holder who does not make the Required Rule 506 Representations and/or does not agree to the Required Rule 506 Restrictions as required hereby and in his Transmittal Form by the Expiration Date shall receive only the Cash Consideration as Merger Consideration. Pursuant to the exemption from registration provided by Rule 506, no more than thirty-five (35) Holders who elect to receive Stock Consideration or Mixed Consideration and who are Non-accredited Investors may receive Class B Preferred Stock. In counting the 35 Holders who will be eligible to receive Stock Consideration or Mixed Consideration, the Exchange Agent shall give priority to the Non-accredited Investors making such Election who hold the largest number of shares of MBI Common Stock. All other Holders who are Non-accredited Investors electing Stock Consideration or Mixed Consideration will receive only Cash Consideration. In addition, a Holder who lives in a state (other than Florida or Arkansas) which would require HBI or its employees to register as a broker-dealer, agent, or similar registration under applicable state securities laws in connection with or as a condition to the offering of Class B Preferred Stock shall not be eligible to receive Class B Preferred Stock and shall receive only Cash Consideration.
