Examples of Stock Consideration in a sentence
If the number of Cash Election Shares (which, for this purpose, shall be deemed to include the Dissenting Shares determined as of the Effective Time) is equal to the Cash Election Cap, then subparagraphs (c) and (d) above shall not apply and all Cash Election Shares shall be converted into the right to receive the Cash Consideration and all Non-Election Shares and Stock Election Shares, shall will be converted into the right to receive the Stock Consideration.
For the avoidance of doubt, Dissenting Shares determined as of the Effective Time will not be converted into the right to receive the Stock Consideration.
All other shares of Grasshopper Common Stock (excluding Canceled Shares and Dissenting Shares) shall be converted into the right to receive the Stock Consideration.
The Adjusted Cash Value plus the Initial Stock Consideration Amount is referred to herein as the “Adjusted Transaction Value”.
