ROYALTY INCOME. For EG 2101, we propose using a fixed royalty rate of [***] which is consistent with the base royalty rate for EG 1101 and EG 1102. Given the geographically smaller potential market and the relative size of the bioenergy industry in that market, we do not foresee the same level of seed sales that were contemplated in the EG 1101 and EG 1102 licenses and thus have omitted the tiered royalty structure from this proposal. Confidential Treatment Requested and the Redacted Material has been separately filed with the Commission Since EG 2101 retains some variability and does not show as strong a yield benefit over its public germplasm source (relative to EG 1101 and EG 1102), we propose a shorter term for the minimum royalty obligations to reflect the high probability that new and improved varieties including those coming from the Noble/UGARF breeding program will replace EG 2101 in the market in the medium term. Minimum royalty obligations begin in 2010, which is the first year we expect to make sales. The minimum royalties increase commensurate with increasing seed production. ROYALTY INCOME. Royalty income from intellectual property shall be distributed as listed below. Individual Effort Royalty income derived from intellectual property produced from the individual effort of College personnel and students as defined above shall accrue solely to the author or inventor. College Assisted Individual Effort Royalty income derived from individual efforts, which are complemented by College time, facilities and/or resources, as defined above, shall accrue solely to the author or inventor. However, repayment to the College must be made by the individual(s) concerned as outlined above, which also outlines the other rights of the College in these cases.
ROYALTY INCOME. Monies and royalties collected by a collecting society, authors' rights organization, performing rights society or governmental agency from compulsory licenses, cable retransmission income, Secondary Broadcasts, music performance royalties, tax rebates, levies on blank Videograms or hardware, rental or lending royalties, or the like, will be the property of Licensor, who retains the sole right to apply for and collect these amounts.
ROYALTY INCOME. Until CancerVax has paid JWCI an aggregate of Five Million Dollars ($5,000,000) under Sections 4.1 and 4.2 (not including stock) and this Section 4.3 (the "Change Date"), CancerVax shall pay JWCI fifty percent (50%) of any Net Royalties (as hereafter defined) it receives. For purposes of this Section 4.3, "
ROYALTY INCOME. All amounts collected by any collecting society, authors' rights organization, performing rights society or governmental agency arising from compulsory licenses, cable retransmission income, music performance royalties, tax rebates, exhibition surcharges, levies on blank Videograms or hardware, rental or lending royalties, or the like, will as between Licensor and Licensee be the sole property of Licensor. Licensor has the sole right to apply for and collect all these amounts. If any of such amounts are paid to or collected by Licensee, then Licensee will immediately remit them to Licensor with an appropriate statement identifying the source. The Licensor shall have the exclusive right to apply for and receive income derived from the exploitation or use of the Film(s) by means of retransmission or recording from any television broadcast collected by use of the Film(s) by means of retransmission or recording from any television broadcast collected by AGICOA UGF and similar organizations. The Licensee shall support the Licensor in collecting such monies upon Licensor's request and shall not itself claim such monies unless requested by the Licensor. In the event such monies are paid to the Licensee, the Licensee shall immediately remit 100% of such monies to the Licensor with a written statement setting forth the nature of such payment.
ROYALTY INCOME. All amounts collected by any collecting society, authors’ rights organization, performing rights society or governmental agency arising from compulsory licenses, cable retransmission income, music performance royalties, tax rebates, exhibition surcharges, levies on blank Videograms or hardware, rental or lending royalties, or the like, will as between Licensor and Distributor be the sole property of Licensor and not included in Gross Receipts. Licensor has the sole right to apply for and collect all these amounts. If any of such amounts are paid to or collected by Distributor, then Distributor will immediately remit them to Licensor with an appropriate statement identifying the source.
ROYALTY INCOME. It is acknowledged that, with the payments made or to be made under Sections 4.1 and 4.2 of the JWCI Agreement, the "Change Date" under Section 4.3 of the JWCI Agreement will be accomplished once CancerVax-Delaware has paid JWCI an aggregate of three million five hundred thousand dollars ($3,500,000) from fifty percent (50%) of any Net Royalties it receives.
