REPRESENTATIONS AND WARRANTIES BY CONSULTANT. Consultant hereby represents and warrant as follows:
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. If Consultant is a corporation, partnership or a limited liability company, Consultant warrants, represents, covenants, and agrees that it is duly organized, validly existing and in good standing under the laws of the state of its incorporation or organization and is duly authorized and in good standing to conduct business in the State of Texas.
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. Consultant represents and warrants to the Corporation that neither the execution and delivery of this Agreement nor the carrying out of any of the transactions contemplated hereby will in any respect result in any violation of or be in conflict with any term or provision of any agreement, document or instrument to which Consultant is a party or by which he is bound. Consultant further represents and warrants to the Corporation that he has furnished the Corporation with copies of all such agreements, documents or instruments to which Consultant is a party or by which he is bound. Consultant agrees not to divulge to the Corporation any information which would violate any such agreement, document or instrument, nor to divulge to the Corporation any trade secrets of prior employers or contracting parties.
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. 6.1 Consultant represents and warrants to Ceres that neither the execution and delivery of this Agreement nor the carrying out of any of the Consultancy Services or obligations of Consultant under this Agreement will in any respect result in any violation of or be in conflict with any term or provision of any agreement, document or instrument to which Consultant is a party or by which Consultant is bound. Consultant agrees not to divulge to Ceres any information which would violate any such agreement, document or instrument, nor to divulge to Ceres any trade secrets of prior employers or contracting parties.
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. CONSULTANT, by his acceptance of the Securities he agrees to accept for payment, represents and warrants to Company as follows:
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. Consultant represents and warrants to Company that the execution and delivery of this Agreement and the fulfillment of the terms hereof by Consultant (i) will not constitute a default under or conflict with any agreement or other instrument to which Consultant is a party or by which Consultant is bound; (ii) will not result in a breach of any confidentiality undertaking to any third party, and (iii) do not require the consent of any person or entity. The Consultant further acknowledges and agrees (i) to the transfer of any information concerning the Consultant and held by the Company to a database (including a database located abroad) and to third parties in general, as is reasonable for business purposes or in pursuit of the Company’s business interests; (ii) to protect the good name of the Company and not to perform any act that may bring the Company into disrepute; (iii) to use any equipment (such as laptop) and access to systems (such as email system) provided to the Consultant by the Company for purposes related to the Consultant’s engagement; (iv) that all information, content and data on the Company’s computers and telephones, including electronic mail transmissions, Internet usage, messages and data whether sent from, received by, or stored in or upon the Company’s computers or communications systems are the property of the Company, regardless of the form and/or content of these messages and data, and the Company shall have the right to conduct inspections of such property. The Consultant should not consider messages and data sent from, received by, or stored in or upon the Company’s computer, telephones and communications systems to be private and should not send, receive, or store sensitive personal or private information using these systems. The Consultant is deemed to have consented to any reasonable use, transfer and disclosure of all messages and data contained or sent by the Consultant (if any) via the Company’s computer, telephones and communications systems, including electronic mail. Each reference to the Consultant in this Section (8) shall also be construed as reference to the Representative, mutatis mutandis.
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. Consultant has the power and authority to enter into this Agreement and perform its obligations hereunder; the performance by Consultant of its obligations hereunder does not and will not violate any law; and neither this Agreement nor the performance by Consultant of its obligations hereunder violates any agreement or contract to which Consultant is bound or a party. This Agreement is binding upon and enforceable against Consultant in accordance with its terms, and the person signing this Agreement on behalf of Consultant is authorized to do so.
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. Consultant represents and warrants to the Company that (i) the execution, delivery and performance of this Agreement by Consultant does not and will not conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which Consultant is a party or by which Consultant is bound, (ii) Consultant is not a party to or bound by any employment agreement, covenant not to compete or confidentiality agreement with any other person or entity, and (iii) upon the execution and delivery of this Agreement, this Agreement shall be valid and binding obligations of Consultant.
REPRESENTATIONS AND WARRANTIES BY CONSULTANT. Consultant hereby represents and warrants to the Company, the same being part of the essence of this Agreement, that as of the Commencement Date, he is not a party to any agreement, contract or understanding, and that no facts or circumstances exist which would in any way restrict or prohibit him in any material way from undertaking or performing any of his obligations under this Agreement. The foregoing representation and warranty shall remain in effect throughout the Initial Term and any Additional Term.
