Purpose Definitions and Construction. SECTION 1.1 PURPOSE - United Wisconsin Services, Inc. (the "Company"), acting for itself and on behalf of its subsidiaries, hereby adopts this Voluntary Deferred Compensation Plan (the "Plan") and separate Trust to permit certain salaried employees selected by the Company to defer a portion of their anticipated salary and to have such deferred salary amounts held in the separate Trust. It is intended that the Plan and the Trust shall constitute, and shall be construed and administered as, an unfunded plan of deferred compensation within the meaning of the Employee Retirement Income Security Act of 1974 as amended ("ERISA") and the Internal Revenue Code of 1954, as amended (the "Code"). The Plan and Trust are not intended to be qualified under Section 401(a) of the Code.
Purpose Definitions and Construction. 1.1 This Agreement sets out the terms and conditions upon which the Lender will lend to the Borrower the amount of the Commitment. The Lender agrees to make the Loan to the Borrower: (i) to enable Borrower to pay in full all of the Borrower's outstanding indebtedness other than Permitted Indebtedness and (ii) to enable Borrower to declare and pay to the Guarantor a dividend in an amount equal to the Guarantor's indebtedness to the Lender on the Closing Date.
