Proration and Expenses. Assessments, surface water management charges, conservation service charges, and utility charges constituting liens against the Property, all for the year of Closing, shall be prorated as of the date of Closing. Any documentary transfer tax, real estate excise tax, or other similar tax in accordance with the requirements of lawful authority shall be paid by Seller. The costs of Title Insurance will be allocated as provided in Section 4.2. Seller and Purchaser will share equally the cost of the escrow fee and expenses associated therewith. All other recording and closing costs shall be the responsibility of the Purchaser.
Proration and Expenses. (a) Subject to Section 7.15(b), all recording fees arising out of or relating to the transactions contemplated by this Agreement (excluding transfer tax type fees), if any, shall be paid by the Shareholders. The Shareholders shall pay (i) any transfer taxes or fees due in connection with the transfer of the Company Shares, and (ii) one-half of any real estate transfer taxes incurred if the Purchaser assigns or transfers any parcel of Real Property to an Affiliate on or before the 45th day after the Closing Date. The Shareholders shall cause the Companies to pay (A) the cost of either new Title Policies or updates to existing title insurance policies for the Real Properties in an amount equal to the value of the specific Real Property as disclosed on Schedule 7.15 (whichever are applicable to the specific Real Property), and (B) if the Closing does not occur, the costs of the updated surveys and environmental site assessments procured by the Companies or the Shareholders for the Purchaser. The Shareholders shall cause all such environmental site assessments also to be certified in favor of the New Operator.
Proration and Expenses. Real estate taxes, prepaid rentals, utilities, and other income or fees attributable to the Rail Line interests transferred to Buyer under the terms of this Agreement, shall be prorated between Seller and Buyer in such manner as to allocate to Seller all income, taxes and expenses attributable to the Rail Lines as of the Effective Date, and to allocate to Buyer all income, taxes and expenses attributable to the Rail Lines after the Effective Date. To the extent practicable, the balance of the Purchase Price paid by Buyer to Seller at Funding shall be adjusted based upon this proration. To the extent that this proration cannot be computed or completed as of Funding, settlement upon the remaining prorated items shall be paid, in full, no later than sixty (60) days following the date of Funding. Buyer shall bear the expense of any real estate transfer taxes, excise taxes, sales taxes, and recording fees attributable to the sale and conveyance of the Rail Lines, and the real and personal property, governed by this Agreement. Each party shall pay its own professional fees and expenses of document preparation.

Without limiting the generality of the foregoing, Seller agrees to hold any Indemnified Party harmless from and indemnify such Indemnified Party against all Costs with respect to all Loans relating to or arising out of any violation or alleged violation of any environmental law, rule or regulation or any consumer credit laws, including without limitation laws with respect to unfair or deceptive lending practices and predatory lending practices, the Truth in Lending Act and/or the Real Estate Settlement Procedures Act, that, in each case, results from anything other than such Indemnified Party’s gross negligence or willful misconduct. In any suit, proceeding or action brought by an Indemnified Party in connection with any Loan for any sum owing thereunder, or to enforce any provisions of any Loan, Seller will save, indemnify and hold such Indemnified Party harmless from and against all expense, loss or damage suffered by reason of any defense, set-off, counterclaim, recoupment or reduction of liability whatsoever of the account debtor or obligor thereunder, arising out of a breach by Seller of any obligation thereunder or arising out of any other agreement, indebtedness or liability at any time owing to or in favor of such account debtor or obligor or its successors from Seller. Seller also agrees to reimburse any Indemnified Party as and when billed by such Indemnified Party for all such Indemnified Party’s costs and expenses incurred in connection with the enforcement or the preservation of such Indemnified Party’s rights under this Agreement, any other Program Document or any transaction contemplated hereby or thereby, including without limitation the reasonable fees and disbursements of its counsel. Seller hereby acknowledges that the obligations of Seller under this Agreement are recourse obligations of Seller.

  • Compensation and Expenses of Escrow Agent The Managing General Partner shall be solely responsible for and shall pay the compensation of the Escrow Agent for its services under this Agreement, as provided in Appendix 1 to this Agreement and made a part of this Agreement, and the charges, expenses (including any reasonable attorneys' fees), and other out-of-pocket expenses incurred by the Escrow Agent in connection with the administration of the provisions of this Agreement. The Company also covenants to indemnify the Trustee in any capacity under this Indenture and any other document or transaction entered into in connection herewith and its officers, directors, attorneys, employees and agents and any authenticating agent for, and to hold them harmless against, any loss, claim (whether asserted by the Company, a Holder or any Person), damage, liability or expense (including attorneys’ fees) incurred without gross negligence or willful misconduct on the part of the Trustee, its officers, directors, attorneys, agents or employees, or such agent or authenticating agent, as the case may be, as determined by a final, non-appealable decision of a court of competent jurisdiction, and arising out of or in connection with the acceptance or administration of this Indenture or in any other capacity hereunder, including the costs and expenses of defending themselves against any claim of liability in the premises or the enforcement of this Section 7.06. The obligations of the Company under this Section 7.06 to compensate or indemnify the Trustee and to pay or reimburse the Trustee for expenses, disbursements and advances shall be secured by a senior lien to which the Notes are hereby made subordinate on all money or property held or collected by the Trustee, except, subject to the effect of Section 6.05, funds held in trust herewith for the benefit of the Holders of particular Notes, and, for the avoidance of doubt, such lien shall not be extended in a manner that would conflict with the Company’s obligations to its other creditors. The Trustee’s right to receive payment of any amounts due under this Section 7.06 shall not be subordinate to any other liability or indebtedness of the Company. The obligation of the Company under this Section 7.06 shall survive the satisfaction and discharge of this Indenture and the earlier resignation or removal of the Trustee. The Company need not pay for any settlement made without its consent, which consent shall not be unreasonably withheld. The indemnification provided in this Section 7.06 shall extend to the officers, directors, agents and employees of the Trustee. Without prejudice to any other rights available to the Trustee under applicable law, when the Trustee and its agents and any authenticating agent incur expenses or render services after an Event of Default specified in Section 6.01(h) or Section 6.01(i) occurs, the expenses and the compensation for the services are intended to constitute expenses of administration under any bankruptcy, insolvency or similar laws.
