Product or Service Warranty. Each product manufactured, sold, leased, delivered or installed, and each service provided, by the Company or any Company Subsidiary has been in conformity with all applicable contractual commitments and all express and implied warranties, and none of the Company or the Company Subsidiaries has any Liability (and there is no basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim, or demand against any of them giving rise to any Liability) for replacement or repair thereof or other damages in connection therewith, subject only to (a) warranty and completion work performed and expensed in the ordinary course of business consistent with past practice and (b) the reserve for product or service warranty claims set forth on the face of the Most Recent Balance Sheet as adjusted for the passage of time through the Closing Date in accordance with the past custom and practice of the Company and the Company Subsidiaries. Schedule 5.23(A) sets forth the standard terms and conditions of the applicable guaranty, warranty and indemnity for products manufactured, sold, leased, delivered or installed, or services provided, by the Company and the Company Subsidiaries and, except as described on Schedule 5.23(B), no product manufactured, sold, leased, delivered or installed or service provided by any of the Company or the Company Subsidiaries is subject to any guaranty, warranty or other indemnity beyond a period of two years from the date of commencement of such guarantee, warranty or indemnity.
Product or Service Warranty. Within the three years prior to the date hereof: (a) each product or service sold or delivered by RBIS, Ltd. has been in material conformity with any applicable express and implied warranties, (b) RBIS, Ltd. has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by RBIS, Ltd. is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale given by RBIS, Ltd., if any, or as required by Applicable Law.
Product or Service Warranty. To the Knowledge of Polexis, within the three years prior to the date hereof: (a) each product or service sold or delivered by Polexis has been in material conformity with any applicable express and implied warranties, (b) Polexis has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by Polexis is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale given by Polexis, if any, or as required by Applicable Law.
Product or Service Warranty. Except as set forth in Part I of Section 3.27 of the Disclosure Schedule, each Product manufactured, assembled, produced, distributed, serviced or sold, and each service provided, by the Company or any Subsidiary has been in material conformity with all applicable contractual commitments and all express and implied warranties in all material respects, and neither the Company nor any Subsidiary has any liability for replacement or repair thereof or other damages in connection therewith in excess of the reserves therefor set forth on the balance sheet of the Interim Financial Statements with respect to which (x) any claim that has been asserted, or (y) the Company has knowledge of facts that could reasonably be expected to give rise to a claim that might be asserted against the Company or any Subsidiary, subject in each case only to returns of Products or warranty, in each case in the Ordinary Course of Business. Part II of Section 3.27 of the Disclosure Schedule sets forth all of the terms and conditions of the applicable guaranty, warranty and indemnity of the Company and its Subsidiaries in connection with Products manufactured, assembled, produced, distributed, serviced or sold, or services provided, by the Company or any Subsidiary and, except as described in Part III of Section 3.27 of the Disclosure Schedule, no Product manufactured, assembled, produced, distributed, serviced or sold, or service provided, by the Company or any Subsidiary is subject to any guaranty, warranty or other indemnity by such entity beyond a period of two (2) years from the date of commencement of such guarantee, warranty or indemnity.
Product or Service Warranty. (a) Each product or service sold or delivered by Ai Metrix has been in material conformity with any applicable express and implied warranties, (b) Ai Metrix has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by Ai Metrix is subject to any guaranty, warranty or other indemnity beyond the applicable standard terms and conditions of sale given by Ai Metrix, if any, or as required by Applicable Law.
Product or Service Warranty. Within the three years prior to the date hereof: (a) each product or service sold or delivered by Antin has been in material conformity with any applicable express and implied warranties, (b) Antin has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by Antin is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale given by Antin, if any, or as required by Applicable Law.
Product or Service Warranty. To the Knowledge of Xsilogy, within the three years prior to the date hereof: (a) each product or service sold or delivered by Xsilogy has been in material conformity with any applicable express and implied warranties, (b) Xsilogy has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by Xsilogy is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale given by Xsilogy, if any, or as required by applicable law.
Product or Service Warranty. Within the three years prior to the date hereof: (a) each product or service sold or delivered by cVideo has been in material conformity with any applicable express and implied warranties, (b) cVideo has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by cVideo is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale given by cVideo, if any, or as required by Applicable Law.
Product or Service Warranty. Within the three years prior to the date hereof: (a) each product or service sold or delivered by Logic has been in material conformity with any applicable express and implied warranties, (b) Logic has no current liability for damages in connection with any such warranty (and there is no basis for any present or future Action against it that may reasonably be likely to lead to any liability) and (c) no product or service sold or delivered by Logic is subject to any guaranty, warranty, or other indemnity beyond the applicable standard terms and conditions of sale given by Logic, if any, or as required by Applicable Law.
Product or Service Warranty. Except as set forth in Part I of Section 3.22 of the Company Disclosure Letter, each Product manufactured, assembled, produced, distributed, serviced or sold, and each service provided, by the Company or any Company Subsidiary has been in material conformity with all applicable contractual commitments and all express and implied warranties in all material respects, and neither the Company nor any Company Subsidiary has any liability for replacement or repair thereof or other damages in connection therewith in excess of the reserves therefor set forth on the Unaudited Balance Sheet with respect to which (x) any claim that has been asserted, or (y) to the Knowledge of the Company, would reasonably be expected to give rise to a claim against the Company or any Company Subsidiary, subject in each case only to returns of Products in the ordinary course of business. Part II of Section 3.22 of the Company Disclosure Letter sets forth all of the material terms and conditions of any written guaranty, warranty and indemnity of the Company and the Company Subsidiaries in connection with Products manufactured, assembled, produced, distributed, serviced or sold, or services provided, by the Company or any Company Subsidiary.
