Price Per Share. In determining the public offering price per Security set forth on the cover page of the Prospectus as of the Applicable Time, the Company complied in all material respects with, and obtained any required approvals under, Section 23 and Section 63 of the 1940 Act.
Price Per Share. Upon the terms and subject to the conditions of this Agreement, at the Effective Time, the Purchaser shall purchase from the Company a number of shares of Class N Common Stock equal to (i) the Specified Value divided by (ii) the Per Share Merger Consideration (as defined in the Merger Agreement, assuming that the maximum amount of the Indemnity Escrow Fund and Stockholder Representative Reserve are paid to Equityholders at the Closing of the Merger) rounded down to the nearest whole share (such shares, the “Management Shares”).
Price Per Share. “Price Per Share” means $0.03 less than the average closing price of a share of the Common Stock, as determined by the Company’s Chief Financial Officer based on trade data provided by the New York Stock Exchange (as reported in the Wall Street Journal), for April 26 through April 30, 2007 (inclusive).
Price Per Share. The price per share shall be $6.00 per share, totaling to $3,600,000 for the Purchase Shares. In reliance upon Purchaser representations and warranties contained in Section 4 hereof, and subject to the terms and conditions set forth herein, the Company hereby agrees to sell to Purchaser 600,000 shares of the Company's Series A Preferred Stock.
Price Per Share. Company shall pay XXXX consideration for each Share put to it hereunder in cash in an amount equal to the Fair Market Value of the Shares being put as of the date XXXX exercises its put option.
Price Per Share. “Price Per Share” means $37.2174 per share of Common Stock.
Price Per Share. In determining the minimum price below which sales may not be made (or, if such minimum price is not included in the relevant Placement Notice, the minimum price at which Placement Securities are sold), the Company complied in all material respects with, and obtained any required approvals under, Section 23 and Section 63 of the 1940 Act.
Price Per Share. The price per share to be paid by Abbott for each of the Shares (the "Price per Share") shall be equal to the arithmetic average for the twenty (20) consecutive trading day period ending on the second day preceding the date of this Agreement of (i) the last sale price, as reported on the Small Cap Market, of the Class A Common Stock for the days that it was traded on that market, and (ii) the last sale price reported on the OTC Bulletin Board, or if no sale is reported that day, the average of the bid and ask price, of the Class A Common Stock, as reported on the OTC Bulletin Board for the days when it was primarily traded on that market.
Price Per Share. The price per share shall be EUR 1.00 per share, totaling EUR 1,000,000 for the Purchase Shares (the “Purchase Price”).
Price Per Share. Upon receipt of the shares of Parent Common Stock from the Member, all such shares shall be cancelled and returned to the authorized but unissued shares of Parent Common Stock.
