Price Per Share. “Price Per Share” means $0.05 less than the average closing price of a share of the Common Stock, as determined by the Company’s Chief Financial Officer based on trade data provided by the New York Stock Exchange (as reported in the Wall Street Journal), for the third through the fifth business day following the date of release to the public of the Company’s earnings for the year ended December 31, 2005.
Price Per Share. Upon the terms and subject to the conditions of this Agreement, at the Effective Time, the Purchaser shall purchase from the Company a number of shares of Class N Common Stock equal to (i) the Specified Value divided by (ii) the Per Share Merger Consideration (as defined in the Merger Agreement, assuming that the maximum amount of the Indemnity Escrow Fund and Stockholder Representative Reserve are paid to Equityholders at the Closing of the Merger) rounded down to the nearest whole share (such shares, the “Management Shares”).
