Pursuant to the Purchase Agreement, the Company also has entered into a Registration Rights Agreement, dated as of May 27, 2026 with the Buyer (the “Registration Rights Agreement”) pursuant to which the Company agreed, among other things, to register the Purchase Shares and the Commitment Shares under the Securities Act of 1933, as amended (the “Securities Act”) for resale.
This Amendment No. 1 to the Warrant to Purchase Shares of Common Stock (this “Amendment”), dated as of May 29, 2026 (the “Effective Date”), is entered into by and between AMASS Brands Inc., a Delaware corporation (the “Company”), and Streeterville Capital, LLC, a Utah limited liability company (the “Investor”).
The Company shall provide confirmation of receipt by the Transfer Agent of all instructions pursuant to the Commencement Irrevocable Transfer Agent Instructions with respect to Purchase Shares within one Business Day of delivery of any Purchase Notice.
For each Regular Purchase, the Investor shall pay to the Company an amount equal to the Purchase Amount with respect to such Regular Purchase as full payment for such Purchase Shares via wire transfer of immediately available funds on the same Business Day that the Investor receives such Purchase Shares, if such Purchase Shares are received by the Investor before 1:00 p.m., Eastern time, or, if such Purchase Shares are received by the Investor after 1:00 p.m., Eastern time, the next Business Day.
The Purchase Shares covered by the Registration Statement shall otherwise be freely transferable on the books and records of the Company.
