Payments, Statements and Records. All Royalty payments shall be made to the order of SSC and shall be due and payable within thirty (30) days after the end of each calendar month for sales or distributions during the previous month. Complete and accurate Royalty reports will be due whether or not there were sales during the previous month. Licensee shall (i) furnish to SSC, in connection with each Royalty payment, a statement of account of all sales activity relating to the Licensed Product and (ii) keep full, true, clear and accurate records and books of account with respect to all Licensed Product, such books and records to be retained for at least one (1) year after expiration of the Contract Period. SSC shall have the right to inspect any such books and records related to the Licensed Product during normal business hours upon seventy-two (72) hour advance notice. In the event that audit by SSC (or its representatives) determines a payment deficiency for Royalties due versus Royalties actually paid by Licensee of ten percent (10%) or greater, then the cost of the audit shall be paid by Licensee, together with the Royalty deficiency. The receipt and/or acceptance by SSC of the statements furnished or Royalties paid hereunder to SSC or the cashing of any Royalty checks paid hereunder, shall not preclude SSC from questioning the correctness thereof at any time. In the event that any inconsistencies or mistakes are discovered in such statements or payments, they shall immediately be rectified by Licensee and the appropriate payment shall be made by Licensee.

Complete and accurate royalty reports will be due whether or not there were sales during the previous quarter. Late payments shall bear interest at a rate equal to l 1/2% per month until paid. Licensee shall (i) furnish to Redline in connection with each royalty payment, a statement of account of all sales activity relating to the Licensed Products (including a per item breakdown including description of the Licensed Product, number sold or distributed and Net Sales Price), together with such supporting detail that Redline may require and (ii) keep full, true, clear and accurate records and books of account with respect to all Licensed Products, such books and records to be retained for at least three (3) years after expiration of the Contract Period. Redline shall have the right to inspect any such books and records related to the Licensed Products and the manufacturing facilities of Licensee or its authorized manufacturer during normal business hours and, where possible, upon advance notice. The Royalties and Guaranteed Minimum Royalties due hereunder shall be paid to Redline at the address set forth in Section 10.6 hereof. In the event that an audit by Redline (or its representatives) determines a payment deficiency for Royalties due versus Royalties actually paid by Licensee of five percent (5%) or greater, then the cost of the audit shall be paid by Licensee, together with the Royalty deficiency plus interest thereon at an interest rate of 1(1)/2% per month until paid in full. The receipt and/or acceptance by Redline of the statements furnished or royalties paid hereunder or the cashing of any royalty checks paid hereunder, shall not preclude Redline from questioning the correctness thereof at any time. In the event that any inconsistencies or mistakes are discovered in such statements or payments, they shall immediately be rectified by Licensee and the appropriate payment shall be made by Licensee.

  • Books and Records Reports (a) The Trustees shall keep a certified copy or duplicate original of this Trust Agreement on file at the office of the Trust and the office of the Administrator available for inspection at all reasonable times during its usual business hours by any Holder. The Trustees shall keep proper books of record and account for all the transactions under this Trust Agreement at the office of the Trust and the office of the Administrator, and such books and records shall be open to inspection by any Holder at all reasonable times during usual business hours. The Trustees shall retain all books and records in compliance with Section 31 of the Investment Company Act and the rules and regulations thereunder.

  • Financial Statements; Books and Records (a) Nutmeg has previously delivered to NewMil true, correct and complete copies of (a) the balance sheets of Nutmeg as of December 31 for the years 1997, 1998, and 1999 and the related statements of income, changes in stockholders equity and cash flows for the years 1996 through 1999, inclusive, in each case accompanied by the audit report of Xxxxxx and Monde, independent public accountants with respect to Nutmeg, and (b) the unaudited balance sheets of Nutmeg as of March 31, 2000 and the related comparative unaudited statements of income, changes in stockholders equity and cash flows for the three month periods ended March 31, 1999 and 2000. The financial statements referred to in this Section 3.6(a) (including the related notes, where applicable) fairly present, and the financial statements referred to in Section 6.8 hereof will fairly present (subject, in the case of the unaudited statements, to recurring audit adjustments normal in nature and amount), the results of the operations and financial condition of Nutmeg for the respective fiscal periods or as of the respective dates therein set forth; each of such statements (including the related notes, where applicable) comply, and the financial statements referred to in Section 6.8 hereof will comply, with applicable accounting requirements and with the published rules and regulations of the OTS and FDIC with respect thereto; and each of such statements (including the related notes, where applicable) has been, and the financial statements referred to in Section 6.8 hereof will be, prepared in accordance with generally accepted accounting principles ("GAAP") during the periods involved, except in each case as indicated in such statements or in the notes thereto. The annual reports and quarterly reports that Nutmeg has sent to shareholders since December 31, 1997 do not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading, and Nutmeg has previously delivered or made available to NewMil true, correct and complete copies of such reports. The books and records of Nutmeg have been, and are being, maintained in all material respects in accordance with GAAP and any other applicable legal and accounting requirements.

  • Payments Books and Records (a) Turn 2 may elect to have payments made by check, wire transfer or bank transfer.
