PAYMENT CARD COMPLIANCE. 17 Should CONTRACTOR conduct credit/debit card transactions in conjunction with their business 18 with COUNTY, on behalf of COUNTY, or as part of the business that they conduct, CONTRACTOR 19 covenants and warrants that it is currently PA DSS and PCI DSS compliant and will remain compliant 20 during the entire duration of this Contract. XXXXXXXXXX agrees to immediately notify COUNTY in 21 the event CONTRACTOR should ever become non-compliant, and will take all necessary steps to 22 return to compliance and shall be compliant within ten (10) business days of the commencement of any 23 such interruption. Upon demand by COUNTY, CONTRACTOR shall provide to COUNTY written 24 certification of CONTRACTOR’s PA DSS and/or PCI DSS compliance. 25

Should Tenant conduct credit/debit card transactions in conjunction with Tenant’s business with the County, on behalf of the County, or as part of the business that Tenant conducts on the Premises, Tenant covenants and warrants that it will during the course of such activities be Payment Card Industry Data Security Standard (“PCI/DSS”) and Payment Application Data Security Standard (“PA/DSS”) compliant and will remain compliant during the entire duration of its conduct of such activities. Tenant agrees to immediately notify County in the event Tenant should ever become non- compliant at a time when compliance is required hereunder, and will take all necessary steps to return to compliance and shall be compliant within ten (10) days of the commencement of any such interruption. Upon demand by County, Tenant shall provide to County written certification of Tenant’s PCI/DSS and/or PA/DSS compliance.

Should Tenant conduct credit/debit card transactions in conjunction with Tenant’s business with the District, on behalf of the District, or as part of the business that Tenant conducts on the Premises, Tenant covenants and warrants that it will during the course of such activities be Payment Card Industry Data Security Standard (“PCI/DSS”) and Payment Application Data Security Standard (“PA/DSS”) compliant and will remain compliant during the entire duration of its conduct of such activities. Tenant agrees to immediately notify District in the event Tenant should ever become knowingly non-compliant at a time when compliance is required hereunder, and will take all necessary steps to return to compliance and shall be compliant within ten (10) days of the commencement of any such interruption. Upon demand by District, Tenant shall provide to District written certification of Tenant’s PCI/DSS and/or PA/DSS compliance within ten (10) days of District’s demand.

Should Lessee conduct credit/debit card transactions in conjunction with Lessee’s business with the County, on behalf of the County, or as part of the business that Lessee conducts on the Property, Lessee covenants and warrants that it will during the course of such activities be Payment Card Industry Data Security Standard (“PCI/DSS”) and Payment Application Data Security Standard (“PA/DSS”) compliant and will remain compliant with such standards, or any successor standards, during the entire duration of its conduct of such activities, provided such standards remain applicable. Lessee agrees to immediately notify County in the event Lessee should ever become non-compliant at a time when compliance is required hereunder, and will take all necessary steps to return to compliance and shall be compliant within ten (10) days after the commencement of any such interruption. Upon demand by County, Lessee shall provide to County written certification of Lessee’s PCI/DSS and/or PA/DSS compliance.
PAYMENT CARD COMPLIANCE. The Corporation has complied in all material respects with all applicable industry standards concerning privacy, data protection, confidentiality or information security, including without limitation, all rules, regulations, standards or guidelines adopted or required by the Payment Card Industry Security Standards Council, including without limitation, the Payment Card Industry Data Security Standard requirements, and other similar standards, in each case as they may be amended from time to time. Notwithstanding the foregoing, no representation or warranty is made as to the compliance of the operations of, or the information or other systems used by, The Westin Trillium House, Blue Mountain.
