ONS. UserZoom owns certain proprietary software applications and services and has developed and maintains proprietary software and hardware systems that enable and support web-based delivery of such applications and services, which includes the applicable web-based, self-service digital user testing and customer experience measurement solution(s) offered by UserZoom (the “Self-Service Solu:on”). Among its many features, the Self-Service Solution enables Customer Users (as defined below) to (i) depending on the type of Customer User, create, design or manage studies that involve the testing and evaluation of web xxxxx, xxxxxx xxxxx, xxxxxx applications and web applications (“Studies”) and/or (ii) depending on the type of Customer User, invite individuals (“Par:cipants”) to participate in those Studies by taking online surveys, completing task-based studies, and providing other feedback. The Ordered Software Service(s), together with the Related Services, both of which are defined below, shall collectively constitute the “Services”.

ONS. The holder of the certificate that immediately prior to the Effective Time of the Merger evidenced the Outstanding Sub Common Share (the "Sub Common Stock Certificate") may, at such holder's option, surrender the same to the Surviving Corporation for cancellation, and such holder shall be entitled to receive from the Surviving Corporation in exchange therefor certificates representing and evidencing the number of shares of Common Stock of the Surviving Corporation, the number of shares of Series A Preferred Stock of the Surviving Corporation, and the number of shares of Series B Preferred Stock of the Surviving Corporation into which such holder's Outstanding Sub Common Share shall have been converted, and, until surrendered, the Sub Common Stock Certificate shall represent and evidence the number of shares of Common Stock of the Surviving Corporation, the number of shares of Series A Preferred Stock of the Surviving Corporation, and the number of shares of Series B Preferred Stock of the Surviving Corporation into which the Outstanding Sub Common Share theretofore represented and evidenced thereby shall have been converted.
ONS. The largest elderly population in England and Wales. The 2011 census showed that 26% of Formby’s population were aged over 65 compared to 16% nationally and the early indicators from the 2021 census shows that the elderly population is increasing. The nearest park within reasonable walking distance is Duke Street Park, however this park is regularly used for playing pitches. Most of the open space is along the coastline, which is not readily accessible for an ageing population to walk to from the centre of the town. The Sefton “Open Space and Playing Field Strategy” 2015 supplemented by the Open Space SPD 2017 shows some shortfalls of open space, sport, and recreation in Formby. Previous resident surveys conducted during the preparation of the Formby and Little Altcar Neighbourhood Plan, led to the objectives of providing more public open space, improving and enhancing existing open space, and to create a network of green spaces and corridors that sustains local wildlife and a sense of rural living throughout the town. This project is viewed as working towards those objectives. The Neighbourhood Plan identifies the need to maximise opportunities to use green infrastructure such as tree planting, buffer strips and wildlife areas to help manage climate change effects on surface and ground water and to mitigate the effect of habitat change. The Formby Little Theatre which is adjacent to this land have asked if they can have an area for summer outdoor performances. The detail of this is to be further explored but the Parish Council would be amenable to supporting the Arts if the lease allows for this. Greenspace should be viewed in terms of the multiple benefits it generates both for people and the wider environment. One thing we are learning from this pandemic is that people need regular access to quality green space locally for their physical and mental health and wellbeing and this type of investment makes a difference to demands on our national health service and other support services. Proposed work on Site A plan for the area is being drawn up by Mersey Forest to identify the following features: To plant 70 trees/shrubs to commemorate the Queens Jubilee To plant wildflower meadow areas To provide bench seating To provide mown pathways Planned Investment Formby Parish Council have aligned with Mersey Forest who are producing a plan for the park and who will consider some funding towards this project as it aligns with their objectives of managing carbon re...
