No Contra Proferentum. The language in all parts of this Agreement shall in all cases be construed as a whole and neither strictly for nor strictly against any of the parties.
No Contra Proferentum. The parties agree that they have been represented by counsel during the negotiation and execution of this Agreement, and, therefore, waive the application of any law, regulation or holding or rule of construction providing that ambiguities in an agreement or other document will be construed against the party drafting such agreement or document.

This Agreement has been negotiated by the Obligor and the Agent with the benefit of legal representation, and any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply to the construction or interpretation of this Agreement.

The Parties acknowledge that the provisions of this Agreement have been mutually prepared by the Parties and that each Party has had the opportunity to consider each and every term and condition in this Agreement, and to obtain Independent Legal Advice. The Parties each agree that all such terms and conditions are reasonable and valid and understand and agree to all provisions of this Agreement. The Parties further acknowledge and agree that should any aspect of this Agreement be brought before a judicial or quasi-judicial hearing, this Agreement shall be read, reviewed, and interpreted without regard to contra proferentum, and that the rule contra proferentum shall not apply with respect to the interpretation of this Agreement.
