Represented by Counsel. Plaintiffs and Settling Defendants acknowledge that each have been represented by counsel, and have made their own investigations of the matters covered by this Settlement Agreement to the extent they have deemed it necessary to do so and are not relying on any representation or warranty by the other party other than as set forth herein. Therefore, Plaintiffs and Settling Defendants and their respective counsel agree that they will not seek to set aside any part of the Settlement Agreement on the grounds of mistake.

Represented by Counsel. Class Plaintiffs, the Settlement Class, and Xxxxx Farms acknowledge that each have been represented by counsel, and have made their own investigations of the matters covered by this Settlement Agreement to the extent they have deemed it necessary to do so and are not relying on any representation or warranty by the other party other than as set forth herein. Therefore, the Settling Parties and their respective counsel agree that they will not seek to set aside any part of the Settlement Agreement on the grounds of mistake. The Settling Parties agree that this Settlement Agreement was negotiated in good faith by the Settling Parties, and reflects a settlement that was reached voluntarily after consultation with competent counsel, and no Settling Party has entered this Settlement Agreement as the result of any coercion or duress.

Represented by Counsel. Each Party represents that it has been represented by legal counsel in connection with this Agreement and acknowledges that it has participated in the drafting hereof. In interpreting and applying the terms and provisions of this Agreement, the Parties agree that no presumption will apply against the Party which drafted such terms and provisions.

Represented by Counsel. Each party confirms that it has had the opportunity to be represented and advised by counsel in this transaction.

Represented by Counsel. Each party to this Agreement acknowledges that such party has been represented by counsel (or has had an opportunity to be represented by counsel) in negotiations for, and the preparation of, this Agreement, that such party have reviewed this Agreement, that such party understands and is fully aware of its contents and of its legal effect, and such party is voluntarily entering into this Agreement upon the legal advice of its counsel. Each party waives all common law or statutory presumptions to the effect that uncertainties in a contract are interpreted against the party causing an uncertainty to exist.

Represented by Counsel. Each party has been represented and advised by counsel in the transaction contemplated hereby.

Represented by Counsel. Each party to this Agreement is represented by counsel and has consulted with counsel regarding the terms and legal meaning of this Agreement.

Represented by Counsel. Each party acknowledges that such party and its counsel, 22 after negotiation and consultation, have reviewed and revised this Agreement. As such, the terms 23 of this Agreement shall be fairly construed and the usual rule of construction, to wit, that 24 ambiguities in this Agreement should be resolved against the drafting party, shall not be 25 employed in the interpretation of this Agreement or any amendments, modifications or exhibits 26 hereto or thereto.

Represented by Counsel. Each party represents to all other parties to this Agreement that it has been represented by legal counsel of its choice in all aspects of considering, understanding, negotiating and making a determination to enter into this Agreement.

Represented by Counsel. Each Settling Party acknowledges that it has been represented by legal counsel, and that each Settling Party has reviewed, and has had the benefit of legal counsel’s advice concerning, all of the terms and conditions of this Agreement.
