Negotiate and Execute Contracts. The School Board, as agent for the County Commissioners, shall have sole and exclusive authority to negotiate and execute on behalf of the County all contracts for the construction or renovation of school sites undertaken pursuant to this Agreement, as long as the funds to be expended pursuant to those contracts are within the project budget established by the School Board and approved by the County Commissioners.

Negotiate and Execute Contracts. The Board, as the County’s agent, shall have sole and exclusive authority to negotiate and execute on the County’s behalf all contracts for the construction and renovation for the Project, including design services, as long as the funds to be expended pursuant to those contracts are within the Project budget established by the Board and approved by the County. The form of contracts agreed upon shall be approved by the Board and the Board shall execute the contracts as the County’s agent and third-party beneficiary. In addition to the authority delegated herein, for purposes of change orders for executed contracts, Board Policy 9030 shall be followed provided that the County and Board shall receive joint reports pursuant to Policy 9030(1)(b) and the County and Board must provide joint approval pursuant to Policy 9030(1)(c).

The form contract agreed upon by the County and School Board shall be used, with non-substantive changes permitted without approval by the County. However, substantive changes requested shall first be approved as to form by the County attorney’s office. In addition to the authority delegated to the School Board above, the Board of County Commissioners hereby specifically authorizes the Superintendent and his designees to negotiate and execute on behalf of the County any individual contracts for the construction projects authorized under this Agreement involving amounts up to fifty thousand dollars ($50,000), provided the applicable provisions of Xxxxx County Board of Education Policy 2500 (Contract Administration) and its Regulations and Procedures are adhered to by the Superintendent and his designees.

Vendor, at its own expense, shall correct any non- conforming or inaccurate information posted at Vendor’s website within ten (10) business days after written notification by DIR.

  • Additional Agreements If at any time after the Effective Time any further action is necessary or desirable to carry out the purposes of this Agreement or to vest the Surviving Corporation with full title to all properties, assets, rights, approvals, immunities and franchises of either of the Company or Merger Sub, then the proper officers and directors of each Party will use their reasonable best efforts to take such action.

  • Separate Contracts The Owner reserves the right at any time and from time to time upon notice to Contractor to perform, or cause to be performed by other Contractors, other work at the Site in connection with the development of the Project that is not contemplated hereby or that is contemplated hereby if the Contractor and the Owner shall be unable to agree upon a Change Order incorporating such work as Work of the Contractor under this Contract. In either case, the Owner shall assure that such personnel or Contractors do not cause any conflict with the Work of Contractor. Contractor shall afford the Owner and other Contractors reasonable opportunity for the introduction, protection, and storage of material and equipment at the Site and the execution of work, and shall properly connect, if required by Contract Documents, and coordinate its work with theirs. If any work by the Owner or its other Contractors increases Contractor's costs or extends the time of performance, Contractor shall be entitled upon timely claim to a Change Order for payment by Owner of any reasonable costs actually incurred by Contractor as a result thereof and to an extension of time for performance for such reasonable time as the Design Professional shall determine. Contractor has no responsibility hereunder to certify the suitability or correctness of any work performed by Owner's own personnel or other Contractors under direct contract with the Owner. This Article also applies to installation of loose equipment and fixtures by the Owner, Using Agency, or a Separate Contractor.

  • MUTUAL AGREEMENT PROCEDURES 1. Where difficulties or doubts arise between the Parties regarding the implementation or interpretation of this Agreement, the respective competent authorities shall use their best efforts to resolve the matter by mutual agreement.

  • Settlement of Disputes between the Contracting Parties 1. Disputes between the Contracting Parties concerning the interpretation or application of this Agreement should, if possible, be settled through diplomatic channels.

  • Mutual Agreement This Agreement may be terminated at any time by mutual written agreement of the parties.
