Mortgagor’s Representations. Mortgagor represents that: (i) it has made no prior assignment or pledge of the rents assigned hereby or of Mortgagor’s interest in any of the Leases; (ii) to the best of Mortgagor’s knowledge no default exists in any of the Leases; (iii) to the best of Mortgagor’s knowledge none of the Leases have been modified; and (iv) no prepayment of any installment of rent for more than one (1) month due under any of the Leases has been received by Mortgagor.

Mortgagor’s Representations. Mortgagor represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of the State of Florida, and has the right and power and has obtained all necessary authorization to execute and deliver this Mortgage and the other Loan Documents to which it is a party and to perform its obligations thereunder in accordance with the terms thereof; (b) the consent of any governmental body, agency or entity is not required (or if required has been obtained) in connection with the execution and delivery of this Mortgage; (c) the execution, delivery, and performance by Mortgagor of the Loan Documents does not: (i) violate: (A) any existing provision of law, rule, or regulation; (B) Mortgagor’s articles of organization and regulations; (C) any provision of any indenture, agreement or other instrument of which Mortgagor is a party or by which it is bound; or (D) any order of any court or other agency of government binding upon Mortgagor; or (ii) result in the creation of any lien, charge, or encumbrance other than the lien created by this Mortgage; and (d) the Obligations are not also secured, directly or indirectly, by “margin securities” or “stock” as defined, respectively, in Regulation G and Regulation U issued by the Board of Governors of the Federal Reserve System.
Mortgagor’s Representations. Without prejudice to any of the other representations, covenants and warranties herein made, the Mortgagor represents unto the Mortgagee the following:

Mortgagor’s Representations. Mortgagor warrants and represents that it possesses a good and marketable title to an indefeasible fee simple estate in the Subject Premises; that Mortgagor has full power and lawful authority to subject the Subject Premises to the lien of this Mortgage in the manner and form herein provided; that it shall be lawful for Mortgagee at all times to enter upon, hold, occupy and enjoy the Subject Premises and every part thereof; that the Subject Premises is free from all liens and encumbrances subject only to those title exceptions listed in the mortgagee title insurance policy approved by and issued to Mortgagee, insuring the priority of the lien of this Mortgage; that all information, reports, papers and data given to Mortgagee with respect to the Subject Premises or Mortgagor are accurate in all material respects; that no notice of taking by eminent domain or condemnation of any part of the Subject Premises has been received, and Mortgagor has no knowledge that any of such is contemplated; that the Subject Premises and the present use and occupancy thereof are in compliance with all applicable laws, rules, ordinances, statutes and regulations; and that no part of the Subject Premises is located in an area designated by any federal, state or local governmental entity as having a special flood hazard.
