Mitigation Measures and Conditions of Approval. The Developer shall be responsible for implementing the mitigation measures set forth on Exhibit “C” hereto, and for adhering to the conditions of approval set forth on E xhibit “C” hereto. If Developer proceeds with the construction of the Project, except as otherwise expressly limited therein, the obligations and requirements imposed by the Project description in Section 2, above, as well as the Mitigation Measures and Conditions of Approval attached as Exhibits C, shall survive the Term of this Agreement and shall be binding upon Developer, its successors and assigns, and shall continue in effect until expiration of the Ground Leases or release by the Planning Director.

Mitigation Measures and Conditions of Approval. E&B shall at its own expense timely perform all mitigation measures identified in the environmental documentation for the Project and conditions of approval identified in the Project Approvals as set forth in Exhibit D. E&B shall have no duty to complete the mitigation measures or conditions of approval, except as otherwise set forth in this Agreement, if the contemplated development fails to occur.

NASCAR may disapprove and prohibit PROMOTER’s actual or intended use of the NASCAR Marks in any location, media or publication if NASCAR determines that such use is or will be detrimental to NASCAR, to the Event, to the series of which the Event is a part, or to the sport.

  • GENERAL WORKING CONDITIONS The District has empowered school communities to make decisions at the school level in return for accountability for results. To maximize the likelihood of success, each school must be permitted to implement programs that meet the needs of its students and community. Through a school-based decision-making process, each school will define the staff working conditions necessary for student success. School leadership teams will create and publish annual “school operational plans” which will outline working conditions of staff in the building. Such operational plans will be subject to the Superintendent’s review and approval.

  • CONDITIONS PRECEDENT TO OBLIGATIONS OF THE BUYER The obligations of the Buyer under this Agreement shall be subject to the satisfaction, at or prior to the Closing Date, of all of the following conditions, any one or more of which may be waived by the Buyer:
