Materials and Assistance. In order to facilitate the CBOT’s performance of its obligations hereunder, after receipt of commercially reasonable prior notice from the CBOT, when practicable, Licensee shall promptly provide to the CBOT any information, documentation, access to the Premises, equipment, software, and personnel as the CBOT may reasonably request.

Materials and Assistance. Within [**] of the Effective Date, Allergan shall transfer, assign and deliver to Editas all (a) existing regulatory filings, (b) regulatory submission Materials relating to any Editas Product, (c) data from any preclinical and clinical studies conducted by or on behalf of Allergan, its Affiliates or its sublicensees relating to any Editas Product, and (d) pharmacovigilance data (including all adverse event databases) in the Control of Allergan or its Affiliates or sublicensees solely relating to any Editas Product (clauses (a) and (b), collectively, the “Transferred Regulatory Filings”), in each case all as set forth on Exhibit C. Such transfer shall be effectuated through submission of filing ownership transfer and the delivery of documents to a data room or other means to be agreed between the Parties.

  • Information and Assistance 15.1.1 Subject to any obligation in respect of confidentiality, the Data Protection Legislation and Confidential Information, the Parties will use all reasonable endeavours to provide and share information and data reasonably required by the other:

  • Cooperation and Assistance (i) The Parties shall cooperate with each other in the filing of any Tax Returns and the conduct of any audit or other proceeding. They each shall execute and deliver such powers of attorney and make available such other documents as are reasonably necessary to carry out the intent of this Section 6.14.

Employee participation in and/or referral to the EAP shall be voluntary and confidential, except as to any disclosures required by applicable state law. All personal treatment records generated as a result of an eligible individual’s utilization of the EAP shall be maintained by the service provider and shall not be shared with the Board unless otherwise authorized by the eligible employee or the covered dependent, or by operation of applicable law. The contact person for the EAP services to be made available under this Agreement shall not be employed by the Board of Education.
