Manager and Member Titles, Authority, Responsibilities and Compensation. In performing his/her/their management functions for the LLC, the Members may designate not only the Manager but may designate for the Manager or for the Members other titles (including the title “president”, “vice-president”, “chief executive officer”, “chief operations officer”, “secretary”, “treasurer” or other such title) that the Members may determine from time to time. The Manager and other appointees of the Members shall have the right to bind the LLC in contracts and other dealings with third parties. The Manager shall have the right to conduct the day-to-day business and internal affairs of the LLC. Subject to the duty of confidentiality under Section 21 and to any applicable laws and regulations, including laws and regulations concerning the privacy of employee medical records, the Manager shall, to the extent necessary or useful for the performance of the Manager’s duties and responsibilities under this Agreement, be entitled (i) to have access to all LLC information and records; (ii) to copy and use this information and these records; and (iii) under appropriate terms of confidentiality, to disclose this information and these records to third parties. The Manager shall have general responsibility for managing the business and internal affairs of the LLC. Before or promptly after the LLC begins its business activities, and subject to a contrary directive from the Members, the Manager shall do the following: (i) the Manager shall obtain for the LLC a federal tax identification number and any necessary state tax identification numbers; (ii) the Manager shall open any necessary bank accounts for the LLC; (iii) the Manager shall obtain on commercially reasonable terms insurance policies covering all reasonably foreseeable LLC insurable risks; and (iv) the Manager shall do all other things necessary or useful in connection with the commencement of the LLC’s business. When determined appropriate by the Members, the Manager shall prepare, review and revise a business plan and budget for the following fiscal year. The Manager acting in the Manager’s capacity as a Manager shall not be personally liable for any claim against the LLC by a third party. The Manager shall only be personally liable for the Manager’s intentional and/or willful misconduct or gross negligence as provided by this Agreement and by applicable law.   • Faculty Responsibilities The principles of academic freedom shall be accompanied by corresponding principles of Faculty responsibility. While workload and additional Faculty responsibilities may be provided for elsewhere in this Agreement, the following are among the basic responsibilities of the Faculty:

  • Company’s Responsibilities Except for the items above that are the responsibility of Authority, Company will, throughout the Term of this Agreement, assume full responsibility for all nonstructural repair and maintenance of the Premises, whether such repair or maintenance be ordinary or extraordinary, and without limiting the generality hereof, Company will keep the Premises and all of Company’s trade and other fixtures, equipment, and personal property that are located on any part of the Premises or Common Use Areas open to or visible by the general public, in a clean and orderly condition and appearance; and
