MANAGEMENT OF THE BUSINESS. Pursuant to Section 00-00-000 of the Act, and as stated in its Articles, the Company’s day to day affairs are managed by the Member. The Member is responsible for the daily operations of the business.
MANAGEMENT OF THE BUSINESS. Pursuant to Section 00-00-000 of the Act, the Company’s day to day affairs are managed by the Manager(s). The name and residential address of each Manager is attached as Exhibit 1 of this Agreement. The Manager(s) will be elected, terminated, or replaced by majority vote of the membership interests, as set forth in Exhibit 2 and any amendments, to act as agent of the Company. Manager(s) may be Members or Non- Members. The primary responsibility for the operations of the business, as stated below in Sections 4.06 and 4.09, is vested in the Manager(s). If more than one Manager is elected, then the Members will choose one Manager to serve as the Chief Executive Manager. If a Manager who is also a Member dissociates from the Company, then that dissociated Member also ceases to serve the Company as a Manager. If an individual who serves the Company as both a Manager and Member ceases to serve as manager, that cessation does not, by itself, dissociate the individual as a Member.

A Member will be elected, terminated, or replaced as Chief Executive Member by majority vote of the membership interests, as set forth in Exhibit 1 and any amendments, to serve the Company as its agent. The Chief Executive Member is responsible for the daily operations of the business. Notwithstanding the other provisions of this Article, the Members agree that:
MANAGEMENT OF THE BUSINESS. The Company is managed by Managers. The name and address of each Manager is attached as Exhibit 1 of this Agreement. At least one Manager will be elected by a vote of the Members holding a majority of the capital interests in the Company, as set forth in Exhibit 2 and any amendments. One Manager will be elected by the Members as Chief Executive Manager. The Manager(s) may be Members or Non-Members.
MANAGEMENT OF THE BUSINESS. The name and place of residence of each Manager is attached as Exhibit 1 of this Agreement. By a vote of the Members holding a majority of the capital interests in the Company, as set forth in Exhibit 2 as amended from time to time, shall elect so many Managers as the Members determine, but no fewer than one, with one Manager elected by the Members as Chief Executive Manager. The elected Manager(s) may either be a Member or Non-Member.
MANAGEMENT OF THE BUSINESS. The Company shall be Management Committee managed. The name of each member of the Management Committee is set forth on Schedule A attached hereton.t. By a vote of the Members holding a majority of the capital interests in the Company, as set forth in Schedule B,, as amended from time to time, shall elect so many Management Committee members as the Members determine, but no fewer than one.
MANAGEMENT OF THE BUSINESS. Following the Closing and except as provided in this Agreement, management of the Company will continue to have full authority to operate the day-to-day business affairs of the Company to the same extent as prior to the Closing. In this regard, the Chief Executive Officer of the Company shall continue to be in charge of all matters within his authority on the date hereof, subject, as required by Delaware law, to the requirement that the business and affairs of the Company shall be managed by or under the direction of the Board of Directors.
MANAGEMENT OF THE BUSINESS. The management of the business is invested in the Members. The members do appoint one Chief Executive Member. The Chief Executive Member is the Member with the most responsibility and head of operations of the business.
