LICENSES AND THIRD-PARTY CONTENT a. Service License and Intellectual Property Rights - Subject to and conditioned on compliance with this Agreement, Dentable grants User a limited license to access and, if User has created an Account, to use the Service for the purpose of using the services described by this Agreement. User must not access (or attempt to access) the Service or Service services by any means other than the interface provided by Dentable, and User will not use information from the Service for any purposes other than the purposes for which it was made available. User agrees not to use the Service for offering any goods or services other than those permitted by this Agreement and in accordance with its terms. User must not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost, or otherwise use any content of the Service in any way for any public or commercial purpose without Dentable's prior written consent. User must not use any content of the Service on any other website or in a networked computer environment for any purpose except User’s own viewing. User must not frame or link to the Service except as permitted in writing by Dentable. User must not attempt to reverse engineer, modify, adapt, translate, prepare derivative works from, decompile, attempt to interfere with the operation of, or otherwise attempt to derive source code from any part of the Service unless expressly permitted by applicable law. User will not access the Service in order to build a similar service or application, or publish any performance, or any benchmark test or analysis relating to the Service. Dentable and our licensors retain all right, title, and interest in and to all Intellectual Property Rights related in and to the Service and the services it provides. All other product names, Dentable names, marks, logos, and symbols on the Service may be the trademarks of their respective owners. Except as expressly stated in this Agreement, nothing in this Agreement confers any license under any of Dentable's or any third party's Intellectual Property Rights, whether by estoppel, implication, or otherwise.

  • Third Party Contractors Tenant shall obtain and deliver to Landlord, Third Party Contractor’s certificates of insurance and applicable endorsements at least seven (7) business days prior to the commencement of work in or about the Premises by any vendor or any other third-party contractor (collectively, a “Third Party Contractor”). All such insurance shall (a) name Landlord as an additional insured under such party’s liability policies as required by Section 10.3.1 above and this Section 10.6, (b) provide a waiver of subrogation in favor of Landlord under such Third Party Contractor’s commercial general liability insurance, (c) be primary and any insurance carried by Landlord shall be excess and non-contributing, and (d) comply with Landlord’s minimum insurance requirements.

  • Third Party Users If required by Applicable Laws and Regulations or if the Parties mutually agree, such agreement not to be unreasonably withheld, to allow one or more third parties to use the Connecting Transmission Owner’s Attachment Facilities, or any part thereof, Developer will be entitled to compensation for the capital expenses it incurred in connection with the Attachment Facilities based upon the pro rata use of the Attachment Facilities by Connecting Transmission Owner, all third party users, and Developer, in accordance with Applicable Laws and Regulations or upon some other mutually-agreed upon methodology. In addition, cost responsibility for ongoing costs, including operation and maintenance costs associated with the Attachment Facilities, will be allocated between Developer and any third party users based upon the pro rata use of the Attachment Facilities by Connecting Transmission Owner, all third party users, and Developer, in accordance with Applicable Laws and Regulations or upon some other mutually agreed upon methodology. If the issue of such compensation or allocation cannot be resolved through such negotiations, it shall be submitted to FERC for resolution.

  • Third Party Use You may allow your agents, contractors and outsourcing service providers (each a “Permitted Third Party”) to use the Product(s) licensed to you hereunder solely for your benefit in accordance with the terms of this XXXX and you are responsible for any such Permitted Third Party’s compliance with this XXXX in such use. Any breach by any Permitted Third Party of the terms of this XXXX will be considered your breach.
